Office Hours: 7 to 8 p.m.; Saturday, 1a.m.to 12.30 p.m.; other hours as fixed by notice. CONSTITUTION. I. NAME. The name of this association is THE ONTEORA CLUB. II. OBJECTS. The objects of this Club are to preserve the character of Onteora as a Summer community, in accordance with the purposes of its founders, and to that end to establish and maintain such organiza- tion and system in the affairs of the community as its growth and development have rendered neces- sary; to act in behalf of the members of the Club in all matters affecting their common interests at Onteora; and especially, from time to time, to take such action as may be desirable and practicable in relation to the water supply, drainage, sanitary service, care of roads, postal, telegraph, police and railway services, social entertainments, and all matters affecting the health, safety, comfort and 6 convenience of the community, and to make or secure proper provision therefor. III. MEMBERSHIP. 1. The membership of the Club shall consist of two classes of members, namely: resident members, who shall be cottage owners or owners of land at Onteora; and non-resident members, who shall be persons who are not cottage owners or owners of land. Resident members who are not cottage owners and non-resident members shall not be entitled to attend business meetings of the Club, except upon invitation of the President, nor to hold office. 2. All persons who were cottage owners or owners of land on September 1, 1895, shall be en- titled to resident membership without election. All other persons who shall be candidates for either resident or non-resident membership must be pro- posed by not less than two members of the Club (other than husband and wife), to whom they must be personally known. 3. The husband or wife of a resident member shall be entitled to membership in the Club, with- out payment of entrance fee or annual dues. 7 4. All membership shall be subject to the agree- ment to abide by this Constitution and the Rules of the Club. 5. The Catskill Mountains Camp and Cottage Company, having agreed with the Club to here- after sell land only to persons who shall previously have been elected members of the Club, the Club shall, in all cases of persons proposed for member- ship, consider only the question as to whether or not such persons are personally eligible and desira- ble as members of the Club and as permanent resi- dents of Onteora, it being recognized that the Company is not limited as to the number of per- sons to whom it may sell, subject to their election by the Club. This restriction as to the sale of land to members of the Club only does not apply to the land owned by the Company near Tanners- ville, known as the "Ollwell farm.” IV. ENTRANCE FEE AND ANNUAL DUES. 1. The entrance fee for all resident members, other than persons who were cottage owners or owners of land on September 1, 1895, from whom no entrance fee shall be required, shall be Ten Dollars, payable upon election. 8 2. No entrance fee shall be required from non- resident members, but non-resident members shall pay the entrance fee of Ten Dollars upon becom- ing resident members. They shall be considered to become resident members upon becoming land owners or cottage owners. 3. The annual dues of resident members shall be Ten Dollars, payable by each resident member, irrespective of the number of cottages or pieces of land which he or she may own, and shall be pay- able in advance on the first day of January in each year. Persons who shall become resident members prior to the first day of September in any year shall pay the annual dues for the current year upon election. 4. The annual dues of non-resident members shall be Five Dollars, payable for the current year upon election, and thereafter in advance on the first day of January in each year. I. V. ! MEETINGS AND ELECTIONS. There shall be an Annual Meeting of the Club in the city of New York on the third Satur- day of January in each year. At the first Annual Meeting, to be held in 1896, twelve resident 9 members, who shall be cottage owners, shall be elected, to constitute the Board of Directors, and who shall as soon as practicable thereafter divide themselves by lot or otherwise into three classes of four members each, to hold office for one, two and three years respectively; and thereafter at each Annual Meeting four resident members, who shall be cottage owners, shall be elected by ballot to be members of the Board of Directors to replace the outgoing class, and their term of office shall be three years. Members of the outgoing class shall be eligible for re-election. Any vacancies in the other classes shall be also filled at each Annual Meeting by ballot. 2. A Regular Meeting of the Club shall be held at Onteora upon such day in the month of July or August as shall, in each year, be appointed by the Board of Directors, of which meeting not less than one week's previous written notice shall be sent to each member. At such meeting the Board of Directors shall submit a general report of the operations of the Club. 3. The Board of Directors may at any time, and upon the written request of not less than six members of the Club shall call a special meeting of the Club, written notice of which shall be sent to IO each member not less than five days prior to such meeting. From June 1 to October 1, special meetings of the Club shall be held at Onteora only, and during the other months of each year in the city of New York only. 4. At the Annual Meeting and Election and at all other meetings of the Club, proxies may be used; and votes at all meetings of the Club shall be cast only upon the unit of the cottage, namely: one vote for each cottage. No members other than cottage owners shall be entitled to vote at any meeting of the Club. The Catskill Mountains Camp and Cottage Company, as a resident member, is entitled to cast one vote for each cottage owned by it, the Inn to be regarded for voting and assessments and other purposes hereunder as equivalent to such number of cottages as shall be determined by agreement be- tween the Company and the Club. 5. At all meetings of the Club, the representa- tives of a majority in number of all the cottages shall constitute a quorum. 6. Each member of the Club shall furnish to the Secretary an address, to which all notices to be sent to such member shall be directed. I I VI. OFFICERS. The officers of the Club shall be a President, a Vice-President, a Secretary and a Treasurer. VII. PRESIDENT. The President, and in his absence the Vice- President, shall preside at all meetings of the Club and of the Board of Directors. In the event of their absence, a meeting of the Club or of the Board of Directors may elect its presiding officer. The President, and in his absence the Vice-Presi- dent, shall, with the Secretary, sign all written contracts and obligations of the Club, and shall perform such other duties as the Board of Directors or the Club may assign to him. VIII. TREASURER. The Treasurer shall collect all entrance fees and all dues and assessments, and shall keep the accounts of the Club, and shall report thereon at each Reg- ular Meeting of the Board of Directors. He shall pay no money for account of the Club, unless such 12 payment shall be authorized by vote of the Club or of the Board of Directors. The Treasurer shall notify all persons elected to membership of their election. IX. SECRETARY. The Secretary shall give notice of all meetings of the Club and of the Board of Directors, and shall keep minutes of such meetings. He shall conduct. the correspondence and keep the records of the Club. He shall furnish to the Treasurer the names of all members elected to membership, and shall be the keeper of the seal of the Club; and shall, with the President, sign all written contracts and obligations. of the Club, and shall, when required, affix the corporate seal thereto. X. BOARD OF DIRECTORS. 1. The Board of Directors shall have general charge, management and control of the affairs, funds and property of the Club. It shall have full power and it shall be its duty to carry out the pur- poses of the Club according to its Constitution and Rules. It shall have power to engage the 13 services of a Superintendent and other employees, and to fix their compensation and to discharge them. 2. The Board of Directors shall, as soon as may be after each Annual Meeting, elect from its own members the President, Vice-President, Secretary and Treasurer of the Club, who shall hold office for one year, and until their successors are elected. 3. The Board shall submit at each Annual Meeting a general report of the affairs and financial condition of the Club, with a financial estimate for the ensuing year, and shall report at other times if required by the Club. 4. The Board shall make its own By-Laws and shall meet at such times as shall thereby be pro- vided; and Special Meetings may be called at any time by the President, or in his absence by the Vice-President, or at any time by not less than four members of the Board. A majority of its members shall constitute a quorum of the Board. 5. The Board shall prescribe Rules in relation to the use of the water supply and drainage and in relation to all other matters which shall be under- taken by the Club in the interests of its members, and shall prescribe penalties for the violation thereof. 14 6. The Board may fill any vacancy in its mem- bership by the election of a resident member of the Club who shall be a cottage owner, to hold office until the next annual election. 7. The Board shall appoint an Executive Com- mittee, a Committee on Admissions, and such other Standing Committees as it may consider necessary from its own members, which committees shall ex- ercise such powers as may be conferred upon them by the Board. It may also from time to time appoint special committees, which may be composed in whole or in part of members of the Club who are not members of the Board. 8. The Board of Directors shall elect all new members of the Club, and no person shall be elected to membership in the Club unless two- thirds of all the members of the Board shall favor his or her election. 9. In respect to all questions of construction of this Constitution and of the Rules of the Club, the decision of the Board shall be final. XI. AUDITING COMMITTEE. At the Annual Meeting of the Club, an Audit- ing Committee shall be elected, which shall con- 15 sist of three resident members who are not members of the Board of Directors, and shall hold office until the next annual election, or until their succes- sors are elected. It shall be their duty to audit the accounts of the Treasurer annually, and to report thereon at the Annual Meeting, and to audit such accounts and report thereon at any other time upon the request of the Board of Directors, or of the Club, or of the Treasurer. XII. ASSESSMENTS. The annual expense of the water supply and of the sanitary service (which latter service shall in- clude the daily removal of ashes, garbage, etc., and, until such time as a general drainage system shall be established, of household waste), and of such other matters as shall from time to time be undertaken by the Club for the benefit of all its members, shall be apportioned according to the number of cottages; that is to say, each resident member of the Club shall be assessed for his pro- portion of the aggregate amount of such annual ex- pense, according to the number of cottages owned by him respectively, and resident members who are not cottage owners shall each pay an assessment 16 equal to one-half of the assessment upon one cot- tage. The payment of the assessment thus levied shall be in such installments and at such times as the Board of Directors shall fix. In case a cottage is closed for an entire season, the owner shall be relieved from one-half of the annual assessment thereon. This annual assessment shall be in addi- tion to the annual membership dues of $10, and shall not exceed $50 on each cottage, unless in any year a larger assessment shall be authorized by a vote representing not less than three-fourths of all the cottages, at a meeting specially called for the purpose, of which not less than two weeks' pre- vious written notice shall be given. XIII. AMENDMENTS. This Constitution may be amended at the annual or any other general or special meeting of the Club by a vote representing two-thirds of all the cottages. Notice of a proposed amendment must be mailed by the Secretary to each resident member not less than one week prior to the date of such meeting. 17 RULES IN RELATION TO PAYMENT OF ANNUAL DUES AND ASSESSMENTS. 1. In case the annual dues of any resident mem- ber, which by the Constitution of the Club are payable in advance on the first day of January in each year, shall remain unpaid on the first day of February following, such member shall be so noti- fied by the Treasurer; and in case such dues shall still remain unpaid thirty days after such notification, the privileges of the Club shall thereupon be sus- pended as to such member until such dues shall be paid in full. 2. In case the annual assessment or any instal- ment thereof or any duly authorized extra or special assesssment upon any resident member of the Club shall remain unpaid in whole or in part at the ex- piration of thirty days from the date upon which the same shall be due and payable, as fixed by the notice sent to members calling for payment of such assessment or installment, such member shall be so notified by the Treasurer; and in case such assess- ment or installment shall still remain unpaid thirty days after such notification, the privileges of the Club shall thereupon be suspended as to such mem- 18 ber until such assessment or installment shall be paid in full. 3. The suspension of the privileges of the Club above referred to shall take effect ipso facto upon the expiration of the respective periods named. No action of the Board of Directors shall be neces- sary to make such suspension effective; but formal notice of the suspension of the privileges of the Club as to him shall be sent by the Secretary to the member in default. 4. The Executive Committee of the Board of Directors may in its discretion extend the time for payment of annual dues or of an assessment or an installment, in any particular case. 5. The suspension of the privileges of the Club as to a resident member shall (while such suspen- sion continues) deprive such member and the cot- tage or cottages or land owned by him of the use and enjoyment of the post office, water supply, sanitary service, services of the Superintendent, and all other privileges and conveniences provided by the Club for the benefit of its members; and such member shall not be permitted to attend any of the meetings of the Club nor to be represented thereat, during such suspension. 6. The fact that a cottage belonging to a mem- 19 ber, as to whom the privileges of the Club are sus- pended, is at the time occupied by a tenant of such member shall in no degree affect or restrain the operation of these rules; but in such a case written notice shall be delivered by the Superintendent at the cottage occupied by such tenant to the effect that at the expiration of one week thereafter all the services and conveniences furnished by the Club will be discontinued as to that cottage unless pay- ment of the amount due and owing shall previously be made. 7. The names of all resident members as to whom the privileges of the Club shall be suspended upon the 31st day of December in each year shall be published in the annual report for such year. 8. In every case in which annual dues or as- sessments or any part thereof shall still remain un- paid at the expiration of thirty days after the Treasurer has notified the member in arrears as re- quired by the foregoing rules, the Treasurer shall inform the Secretary accordingly and the Secretary shall thereupon send formal notice to the member in arrears of the suspension of the privileges of the Club as to him and his property. By order of the Board of Directors of the Onte- ora Club. September 17, 1899. 20 SANITARY AND OTHER Rules. 1. All occupants of cottages are requested to give early notice to the Superintendent at the Lodge of the date upon which they will open and close their cottages for the season, in order that the water supply, sanitary and other services may be promptly furnished, and upon departure the water pipes and drainage traps may be properly emptied and pipes disconnected. 2. All persons having business with the Super- intendent are requested, so far as practicable, to call upon him at the Lodge during his office hours or to communicate with him by letter, in order to avoid taking him away from his regular duties ex- cept when absolutely necessary. 3. Sanitary closets and the separate receptacles for garbage, ashes and liquid household waste, re- spectively, must be frequently cleaned and kept as clean as possible by the occupants of cottages. Occupants of cottages must see that a proper quan- tity of dry earth is used in the sanitary closets. 4. Each cottage must have a number of sanitary closets proportionate and adequate to the number of its occupants, and such closets must be so lo- 21 cated as to be conveniently accessible to the sani- tary employees of the Club. There must be not less than one sanitary closet for each five persons. 5. The use of sanitary closets for the deposit of slops, garbage or rubbish is forbidden. Mistresses must see that their servants observe this rule. 6. Any private system of drainage connected with any cottage which is not approved by the Executive Committee must be corrected or altered by the owner or occupant of such cottage to the satisfaction of the Committee, or entirely discon- tinued and removed, if the Committee so direct. 7. In the event of the violation or non-obser- vance of either of the foregoing rules (Nos. 3, 4, 5 and 6) by the occupant of any cottage, the water supply will be cut off and the sanitary service dis- continued as to such cottage, after such previous notice as the Executive Committee shall think proper to give. 8. Occupants of cottages are requested to take especial care, and to instruct their servants and other employees and dealers to take especial care, to avoid throwing papers, letters, refuse or rubbish of any kind upon the roads in the park or in its neighborhood, and to co-operate with the officers of the Onteora Club in their efforts to keep the roads clean and neat. 22 9. The firing of guns, pistols or other firearms is prohibited. Firecrackers or fireworks must not be set off within two hundred feet of any cottage, unless in any special case permission is granted by the Executive Committee. 10. The Onteora season is from June 1st to October 1st, and the annual assessment levied upon each cottage and the additional regular monthly charge for post-office boxes and mail delivery cover the services provided by the Onteora Club for that period only. Persons occupying cottages between May 1st and June 1st and between October 1st and November 1st will be furnished with water, sanitary service and delivery of mail at a charge of $2.50 per week. Persons occupying cottages earlier than May 1st and later than November 1st may make special arrangements as to these matters with the Superintendent.
