WE, the subscribers, Merchants' clerks in the city of New-York, being desirous to adopt the most efficient means to facilitate mutual intercourse ; to extend our information upon mercantile and other subjects of general utility ; promote a spirit of useful inquiry, and qualify ourselves to dis- charge with dignity the duties of our profession and the social offices of life, — have associated ourselves for the purpose of collecting and esta- blishing a Library and Reading-Room, to be appropriated to the use of young men engaged in mercantile pursuits ; and have, for our govern- ment, adopted the following Constitution : — Art. 1 . This Association shall be known by the name of " The MERCANTILE LIBRARY ASSOCIATION," of the city of New- York. Art. 2. The Officers of the Association shall be a President, Vice- President, Secretary, Treasurer, and eight Directors ; to be elected an- nually. The President, Vice-President, Secretary, and Treasurer, by separate ballot ; the Directors by general ticket. Art. 3. The President shall preside at the meetings ; preserve order therein ; and in case of an equal division of the members on any question, give the casting vote. Art. 4. The Vice-President shall preside in the absence of the Pre- sident, and perform all the duties of that officer. Art. 5. The Secretary shall keep an accurate record of the transac- tions of the Association ; and, under the superintendence of the Board of Direction, conduct its correspondence. Art. 6. The Treasurer shall receive all dues and donations in money ; pay all drafts on him when signed by the Secretary, and countersigned by 4 CONSTITUTION. the President ; keep a regular account of the financial concerns of the Association, an abstract of which, accompanied by satisfactory vouchers, he shall exhibit at each annual meeting. Art. 7. The Treasurer shall give security in the sum of one thousand dollars, for the faithful discharge of his trusts. Art. 8. The President, Vice-President, Secretary, Treasurer, and Directors shall constitute a Board of Direction, with full powers to ap- propriate funds, enact by-laws, and generally conduct the affairs of the Association. It shall meet, at least, once in each month, for the transaction of business ; and at the annual meeting, report its proceedings for the past year, and the state of the concerns of the As- sociation. Art. 9. In case any vacancies shall occur in the Board of Direction, by death, resignation, removal, or inability to discharge the duties of their respective offices, the Board shall have power to fill such vacancies. Art. 10. A Librarian, appointed by the Board of Direction, shall attend at the library on each evening of the week (Sunday excepted) ; shall keep a register of all books, magazines, maps, charts, papers, and all other property in his possession, belonging to the Association ; ar- range them in proper order ; make a record thereof, with the names of the donors, and keep an accurate account of books delivered to members. Art. 1 1 . Each member, on subscribing to the Constitution, shall pay an initiation fee of one dollar; and the farther sum of fifty cents quarterly, so long as he shall continue a member. Art. 12. Any person (engaged in mercantile business as a clerk) may, if approved of by a majority of the Board of Direction, become a member of this Association, on complying with the terms of the pre- ceding Article. Art. 13. Any merchant, not eligible to regular membership in this Association, shall become entitled to the privileges of an Honorary Member, on subscribing to the Constitution, and paying the sum of five dollars annually, in advance, so long as he shall continue a member ; and any merchant may become a member for life, by paying the sum of CONSTITUTION. 5 twenty-jive dollars, and subscribing to the Constitution : — such members not being entitled to a vote, or to act in any official capacity. Art. 14. Any member of this Association commencing business on his own account, shall be entitled to the privileges of an Honorary Member, by continuing the semi-annual contribution of one dollar. Art. 15. There shall be an annual meeting of the members of this Association, on the second Tuesday of January, for the purpose of re- ceiving the report of the Treasurer and Board of Direction ; electing officers for the ensuing year ; and the transaction of such other business as may be presented to them. Art. 16. The President, at the request of two-thirds of the Board of Direction, shall call a meeting of the members, for the transaction of special business. Art. 17. A Committee shall be appointed by the Board of Direction, to examine the books and other property belonging to the Associa- tion, and report thereon, at least one month previous to each annual meeting. Art. 18. There shall be no alteration in this Constitution, unless the same shall have been proposed to the Board of Direction, at least one month previous to an annual meeting, and then approved of by two- thirds of the members of the Association. RULES AND REGULATIONS FOR THE LIBRARY AND READIJVG-ROOM. Art. 1. The Library and Reading-Room shall be open from 10 o'clock, a. m., until 10 o'clock p. m., every day, except Sundays, the Fourth of July, Annual Thanksgiving, Christmas, and New- Year's. Art. 2. The Librarian shall give security in the penal sum of one thousand dollars for the faithful discharge of the duties of his office, and shall hold his office at the pleasure of the Board of Direction. Art. 3. He shall register, in a book prepared for that purpose, and to be kept in the Library-Room, the name of each member of this Asso- ciation ; and shall in no case deliver a book to any member, until the name of such member shall have been so registered. Art. 4. He shall enter in a book, to be kept for that purpose, the No. of every volume delivered by him ; the name of the person to whom delivered ; the time of taking and returning the same, together with the forfeitures arising from every default. Art. 5. He shall keep a full and accurate catalogue of the books belonging to the Association, and a duplicate of the same, which shall at all times be open to the inspection of the members. Art. G. He shall collect all forfeitures incurred by the members, and account for the same to the Treasurer, on the first Thursday of each month. Art. 7. He shall, from time to time, report to the Board of Di- rection the names of such members as may refuse to pay their forfeit- ures, lose or damage any book belonging to the Library ; and at their first regular meeting in March, June, September, and December, report to the Board the names of all delinquents, with the amount of dues remain- ing unpaid. Art. 8. He shall suffer no person, except members of the Board, to remove a book from its place in the Library, without his permission. Art. 9. He shall replace the books in proper order upon the shelves, as soon as may be, after they are returned, having first examined them with care, and ascertained whether they have been injured or defaced. RULES AND REGULATIONS. 7 Art. 10. He shall see that the books, Library-Room, and Reading- Room are kept in good order; shall duly observe the instructions which may be given him by the Board of Direction, and take care that the regulations relative to the loaning of books be strictly adhered to. Art. 1 1 . The Librarian shall deliver to any member applying, one volume, if it be a folio, quarto, or octavo ; and one book or set (not exceeding three volumes) if a duodecimo or volume of less size. Art. 12. Every member may detain each book or set delivered aforesaid, if it be a folio or quarto four weeks, an octavo three weeks, a book or set of less size two weeks ; except new publications, which, until they shall have been in the Library four months, shall not be de- tained, an octavo longer than two weeks, and books of less size one week, and which shall not be renewed. No book shall be reserved by the Librarian for any Director or member. Art. 13. Any member who shall detain a book or set, longer than the time above limited, respectively, shall forfeit and pay to the Librarian, for every day a volume is so detained, if it be a folio, four cents ; a quarto, three cents ; an octavo, two cents ; if it be a duodecimo or smaller volume, or a pamphlet, one cent ; provided, always, if a whole set be taken out and a part of it detained longer than the time above limited, the fine shall be exacted for each book not returned, and if such book be detained one week beyond the time above limited, the forfeiture shall be doubled. Art. 14. The holders of all books not returned at the time directed by the Board for the purpose of an examination of the Library, shall be liable, at the discretion of the Board, to have their names exposed at the annual meeting, as defaulters. Art. 15. If any member lose or injure a book, he shall make the same good to the Librarian ; and if the book lost or injured be one of a set, he shall pay to the Librarian, for the use of the Association, the full value of said set, and may thereupon receive the remaining volumes as his property. Art. 16. No member shall be permitted to receive a book from the Library until he shall have paid all sums due from him to the Associa- tion and make good all damages and losses which he may have occasioned. Art. 17. No member shall lend a book belonging to this Associa- tion to any person out of the dwelling-house or counting-room of said member. Art. 18. Each member shall have the privilege of using any book from the Library, in the Reading-Room, though at the same time in pos- 8 rules a:nb regulations. session of a book belonging to the Association ; yet it will be considered an invariable rule, that such book must be resigned to any member draw- ing it from the Library. Art. 19. No periodical work shall be taken from the Room, until one month shall have elapsed from the time of its being received. Art. 20. The books marked in the catalogue with an asterisk, and such others as may from time to time be specially designated by the Board, shall not be taken from the Library, except by special permission of the Board. Art. 21. The Librarian shall enter upon a slate all books drawn to be read in the Reading-Room, and when returned to him, after due exa- mination, shall erase the entry. Art. 22. Any member wishing to withdraw from the Association must inform the Librarian of it ; see that his resignation is registered, and pay up his dues and fees ; else he will be considered as continuing a member, and charged accordingly. REGULATIONS OF THE READING-ROOM. Art. 1. No member shall be permitted to sit in the Reading-Room with his hat on. Art. 2. No conversation shall be allowed in the Reading-Room, otherwise than in a whisper. Art. 3. No person shall be permitted to smoke, spit on the floor, damage or injure the furniture thereof, or conduct in any way incon- sistent with decorum. Art. 4. Any member who shall mutilate the periodicals or papers placed in the Reading-Room, shall be liable to a fine equal to four times the cost thereof. Art. 5. Any member may have the privilege of introducing a friend, not a resident of the city ; whose name shall be registered by the Libra- rian, in a book provided for that purpose, and who will receive a ticket of admission to the Reading-Room, for the term of four weeks.
