Second.— The particular business or object of such society or club shall be to promote social intercourse among persons specially interested in the good government of the city of New York, in securing honesty and efficiency in the administration of city affairs, in severing municipal from national politics, and in procuring the election of fit persons to city offices ; and to take such action as may tend to the honest, efficient and inde- pendent government of the City of New York ; and for these purposes, to establish and maintain in the City and County of New York, for the use of ourselves and such others above mentioned, a club-house, having a librae, a reading-room, a publication office for the distribution of the publications of the Club, and such other appurtenances and belongings as are usual in clubs and club-houses, and publishing offices. Third.— The number of trustees, directors or managers, to manage the said society or club, shall be twenty. McKenna, Clerk. | ss. CONSTITUTION CONSTITUTION SECTION I. PURPOSE OF THE CLUB. 1. The purpose of The City Club of New York shall be to aid in securing permanent good government for the City of New York through the election and the ap- pointment of honest and able municipal officers and the establishment of a clear and stable system of laws re- lating to the city. The Club declares its belief that the government of this city must be separated at all points from national party politics. The Club will not take any part in State or national politics, except so far as the interests of the City of New York may be involved in the election of the two branches of the State legisla- ture, and the passage of State laws. SECTION II. TRUSTEES. 1. The affairs of the Club, except those of a political nature, shall be managed by a Board of twenty Trus- tees. 12 THE CITY CLUB OF NEW YORK. 2. The Club shall, at its first annual meeting, elect a Board of twenty Trustees, which shall divide itself into four classes of five Trustees each. The term of office of the first class shall expire on the first Wednesday of April, 1893. The term of office of the second class shall expire on the first Wednesday of April, 1894. The term of office of the third class shall expire on the first Wednesday of April, 1895. The term of office of the fourth class shall expire on the first Wednesday of April, 1896. 3. The Board of Trustees shall fill vacancies in its own body until the next annual election after the oc- currence of the vacancy. 4. Trustees elected to fill vacancies shall take office immediately upon election. 5. Trustees to fill the offices left vacant by the out- going Trustees shall be elected at the annual meeting of the Club next preceding the expiration of their term of office. 6. The Trustees shall be elected for a term of four years. 7. The Board of Trustees shall elect the officers of the Club annually from its own members. 8. In addition to the Committees provided for in the Constitution, the Board of Trustees may appoint such Committees as they may deem advisable from their own number or from other members of the Club. The powers and duties of Committees shall be defined by the Board of Trustees. Any officer and any member of CONSTITUTION. 13 any Committee shall be at any time removable by the Board of Trustees, which shall have power to fill vacan- cies. 9. The Board of Trustees shall cause to be prepared, annually, a detailed statement of the financial condition of the Club, showing its receipts and expenditures for the current year, the number of members, and other matters of general interest to the Club ; and such state- ment shall be printed and a copy forwarded to each member within sixty days after the expiration of the fiscal year, which shall terminate on the first Wednesday in April. 10. The Board of Trustees shall have power to accept resignations, and by a three-fifths vote of the whole Board to suspend or expel members from the Board or from the Club. A three-fifths vote shall not be neces- sary in case of disqualification of a member. 11. The Board of Trustees shall hold regular monthly meetings. Special meetings of the Board of Trustees may be held at any time, upon the call of the President or of at least five Trustees. 12. Any Trustee who shall absent himself from three consecutive regular meetings of the Board without be- ing excused, may be deemed by the Board of Trustees to have tendered the resignation of his office. 13. The presiding officer shall, at the request of one- third of the members present, compel any member of the Board to vote at any election or upon any question before the Board, and any member requested and re- fusing so to do shall cease to be a member of the Board of Trustees. 14 THE CITY CLUB OF NEW YORK. 14. Acceptance of public office by any Trustee of the Club shall operate to render vacant his office as Trustee. SECTION in. OFFICERS OF THE CLUB. 1. The officers of the Club shall be a President, two Vice-Presidents, a Secretary, and a Treasurer. 2. The President shall preside at all meetings of the Club and of the Board of Trustees. He shall call a special meeting of the Club when so requested by the council ; or, in writing, by twenty-five resident mem- bers. 3. In the absence of the President, each Vice-President in his order of precedence shall perform all the duties of the President. 4. The Secretary shall keep minutes of the meetings of the Club and of the Board of Trustees. He shall conduct such correspondence as the Board of Trustees may direct, and as falls within the usual duties of a Sec- retary. It shall be the duty of the Secretary to give notice of all meetings of the Club or of the Board of Trustees. 5. The Treasurer shall collect and receive all moneys of the Club, except such as may be subscribed for the purpose of the council, hereinafter created, and dis- burse them under the direction of the Board of Trus- tees. He shall receive all sums due from members, except such as may be subscribed for the purposes of CONSTITUTION. 15 the council, hereinafter created, and give receipts for the same. He shall keep accurate books of account, and make reports thereof at the monthly meetings of the Board of Trustees. He shall deposit, in the name of the Club, all moneys collected by him, in some Trust Company or Bank to be approved by the Board of Trustees, to be drawn out only in payment of bills which shall have been approved by the Board of Trus- tees, or a Committee by it appointed. At the Annual Meeting of the Club, and at the expiration of his term of office, he shall submit a final report with vouchers for audit. SECTION IV. COUNCIL. 1. The political affairs of the Club — that is to say, the affairs of the Club so far as they relate to " securing honesty and efficiency in the administration of city affairs," to " severing municipal from national politics," to " procuring the election of fit persons to city offices," and to the taking of " such action as may tend to the honest, efficient, and independent government of the City of New York " — shall be managed by a Council of thirteen members. The President and the first Vice-President of the Club shall be ex-officio members of the Council ; the eleven remaining members shall be elected each year by the Club at its annual meeting. 2. The Council shall have power to initiate action of 16 THE CITY CLUB OF NEW YORK. a political character in any of the matters herein com- mitted to it ; and shall make at each regular meeting of the Club a written report upon the work of such char- acter done by it since the last preceding regular meeting of the Club. 3. The Council shall have power, and it shall be its duty, to take active measures to obtain subscriptions for carrying on the political work of the Club. 4. The Council shall have power to expend such sums of money as shall be appropriated to it by the Board of Trustees, or obtained for its purposes by voluntary subscriptions. 5. The Council shall incur no expense to be defrayed out of the general funds of the Club, except in so far as such funds shall have been appropriated to it by the Board of Trustees. 6. The officers of the Council, who shall be elected annually by the Council, shall be a Chairman, a Vice- Chairman, a Treasurer, and a Secretary. The three first named shall be chosen from the members of the Council ; the Secretary may or may not be a Councillor, as the Council shall determine. The Secretary may be a salaried officer, in the dis- cretion of the Council. Should he be so, the Council shall determine the amount of his salary and pay it out of the funds at its disposal. 7. The Secretary shall keep minutes of the meetings of the Council. He shall give notice of all meetings of the Council, and discharge such other duties as the Council shall prescribe in its by-laws. CONSTITUTION. l7 8. The Treasurer shall receive and collect all moneys that may be appropriated to the use of the Council by the Board of Trustees, and all sums that may be sub- scribed for carrying on the political work of the Club, and disburse them under the direction of the Council. He shall keep accurate books of account, and make reports thereof at the monthly meetings of the Council. He shall deposit, in the name of the Council, all moneys collected by him, in some trust company or bank to be approved by the Council, to be drawn out only in pay- ment of bills which shall have been approved by the Council. At the close of the year, and at the expiration of his term of office, he shall submit to the Council a final report with vouchers for audit. 9. The Council shall cause to be prepared annually a comprehensive statement of the work done by it during the year, with a detailed account of its receipts and ex- penditures, and submit the same to the Club at the annual meeting. 10. The Council shall hold regular monthly meetings. Special meetings of the Council may be held at any time upon the call of its Chairman or of at least three Coun- cillors. 11. Any member of the Council, except an ex-officio member, who shall absent himself from three consecu- tive regular meetings of the Council without being excused, may be deemed by the Council to have tendered the resignation of his office. 12. The presiding officer shall, on demand of one third of the members present, request any member of 18 THE CITY CLUB OF NEW YORK. the Council to vote upon any question before the Coun- cil ; and any member so requested and refusing to vote shall cease to be a member of the Council. 13. Acceptance of public office, or of nomination for public office, by any Councillor, shall, of itself, terminate his membership of the Council. 14. The Council shall fill vacancies in its own body, except such as may be occasioned by the retirement of an ex-officio member. 15. The Council shall adopt such by-laws for facilita- ting the conduct of its business as it may deem proper and as do not contravene this Constitution or any order of the Club. 16. A special election for eleven members of the Council shall be held on the first day of December, 1897, and the members then elected shall hold office until the first Wednesday of April, 1898, and until their successors shall have been chosen. On the first Wed- nesday of April, 1898, and at the annual elections there- after, Councillors shall be elected for a term of one year. SECTION V. MEMBERSHIP. 1. The members of the Club shall be divided into the following classes : (1) Resident members, including all who reside in the City of New York during any part of the year. (2) Suburban members, including all who reside out- CONSTITUTION. 19 side of the City of New York, but who regularly trans act business in person within the City of New York. (3) Non-resident members, including all who neither reside in the city during any part of the year nor carry on business within the city regularly in person. The entrance fee for each class of members shall be fixed by the By-Laws. For the purposes of this section, the City of New York shall be understood to mean the territory included within the City and County of New York on the first day of January, 1897. In addition to the classes of membership before speci- fied, honorary members may be from time to time elected by the Board of Trustees by a unanimous vote of a meeting at which three-fourths of the Board shall be present. Such honorary members shall have no vote at the meetings of the Club, and shall not be entitled to hold office as Trustee ; nor shall such members be sub- ject to the payment of entrance fees or dues, but they shall be subject to all other rules and regulations of the Club. 2. Resident members shall pay semi-annual dues of twenty-five dollars, payable on qualifying as such, and on the first Wednesdays of April and October. Suburban members shall pay annual dues of twenty-five dollars, payable on the first Wednesday of April. Non-resident members shall pay annual dues of fifteen dollars, payable on the first Wednesday of April. 3. Any member or member-elect may become a life member by the payment of one thousand dollars, and in 20 THE CITY CLUB OF NEW YORK. such case he shall not be further liable for dues, but shall have all the privileges and rights of a resident member, and shall be subject to the provisions as to expulsion or suspension. 4. All members hereafter admitted to the Club, except life members, shall pay proportionate dues for the remainder of the Club year in which they are admitted. 5. Members shall not be required to pay dues for any year during the whole of which they shall be absent from the United States, provided they shall have given notice in writing to the Board of Trustees of such pro- posed absence in advance. 6. Any person elected to membership who shall fail to qualify for two months after notice of his election, may be considered to have declined his election, and the same election may be declared void by the Board of Trustees. 7. Any member in good standing, and not indebted to the Club, may withdraw by resigning, and shall thereby relinquish all right in the property of the Club. 8. Resignations of membership shall be made to the Secretary in writing. 9. All notices mailed to addresses recorded on the Club books shall be valid for all purposes. 10. Any member neglecting to pay his dues, or any debt to the Club, for the space of two months after his name shall have been posted, shall cease to be a mem- ber unless excused by the Board of Trustees. CONSTITUTION. 21 SECTION VI. HOLDING OVER IN OFFICE. Officers of the Club and members of the Board of Trustees, of the Council, and of the Committee on Membership, shall hold over, in office until their success- ors shall have been chosen. Committees appointed by the Board of Trustees or the Council shall hold over until the Board of Trustees or the Council, as the case may be, shall replace them, or shall otherwise direct. SECTION VII. COMMITTEES. 1. There shall be the following standing committees, which shall be appointed by the Board of Trustees, and may be composed, in part, of members who are not Trustees : (1) An Audit Committee of three members. (2) A House Committee of three members. (3) A Committee on the Library of three members — one of whom shall be a Councillor. 2. There shall be the following standing committees, which shall be appointed by the Council, and may be composed, in part, of members who are not Council- lors : (1) A Committee on Legislation, number to be deter- mined by the Council. 22 THE CITY CLUB OF NEW YORK. (2) A Committee on Municipal Government, number to be determined by the Council. (3) A Committee on Co-operation and Affiliated Clubs, of three members. (4) A Committee on Organization of three members. (5) A Committee on Publication and Records of three members. SECTION VIII. COMMITTEE ON MEMBERSHIP. 1. This Committee shall elect to membership in the Club. It shall consist of nineteen members. One of its members shall be appointed by the Board of Trus- tees and shall act as chairman of the Committee. The term of office of this member shall be for one year and until the first annual meeting after his appointment. The Committee on Membership now existing shall hold office until the annual meeting of the Club for 1897. Twelve of the members of such Committee (of whom the chairman shall not be one), to be determined by lot, shall thereafter continue as members of the Com- mittee on Membership, and they shall divide themselves into two classes of six members each, one class to hold office until the first and the other until the second an- nual meeting next thereafter. Six members of the Committee shall be elected by ballot at each annual meeting of the Club, to replace the out-going class, and CONSTITUTION. 23 to take office at the expiration of the term of such out- going class. The terra of office of the members so elected shall be three years and until the third annual meeting after their election. The names of the mem- bers of the Committee shall remain posted in a con- spicuous place in the Club-house. The Committee may adopt such rules for its own guidance as it shall deem for the best interests of the Club, and as are not repug- nant to this Constitution, to the By-Laws, or to any order of the Club. 2. The Committee shall meet at least once in each month, except June, July, and August. 3. The name of every candidate for membership in the Club shall remain posted for at least two weeks in a conspicuous place in the Club-house before action on his nomination. 4. Ten members of the Committee shall constitute a quorum, and two negative votes shall reject a can- didate. SECTION IX. THE AUDIT, HOUSE, AND LIBRARY COMMITTEES. The Audit, House, and Library Committees shall have the usual powers and duties of such Committees. 24 THE CITY CLUB OF NEW YORK. SECTION X. COMMITTEE OX LEGISLATION. The duties of this Committee shall be to observe the action of the Legislature at Albany, and to advance the objects of the Club by the promotion of, or opposition to, suggested legislation so far as it may be deemed expedient. SECTION XI. COMMITTEE ON MUNICIPAL GOVERNMENT. The duties of this Committee shall be to examine into the requirements of the Municipal Government and into the operation of that of the City of New York, and from time to time to report upon the same and to sug- gest measures for its improvement, and to carry out such measures in relation thereto as may be approved by the Council. SECTION XII. COMMITTEE ON CO-OPERATION AND AFFILIATED CLUBS. The duties of this Committee shall consist in securing the ?o-operation of all societies, whether philanthropic or political, the aim of which is to improve social con- ditions, and in concentrating the efforts of such soci- eties in the direction of the purposes of the City Club, CONSTITUTION. 25 and in drawing up a plan for organizing affiliated Clubs, and ultimately in carrying out such plan when approved by the Council. SECTION XIII. COMMITTEE OX ORGANIZATION. The duties of this Committee shall consist in formu- lating a plan for enrolling all citizens of this city, whether members or not members of the Club, in an organization for the purpose of carrying into execution the objects of this Club, and ultimately of co-operation with such organization and kindred organizations at such time and in such manner as the Council may direct. SECTION XIV. COMMITTEE ON PUBLICATION AND RECORDS. The duties of this Committee shall consist in keeping a careful record of all the work done by the Club, and in preparing documents. SECTION XV. GE>- ERAL RULES GOVERNING STANDING COMMITTEES. 1. The Committees on Legislation, Municipal Gov- ernment, Co-operation and Affiliated Clubs, and Pub- 26 THE CITY CLUB OF NEW YORK. lication and Records shall take no action without the express authorization of the Council. 2. Every Committee appointed by the Board of Trustees or the Council shall be required to make a monthly report in writing to the Board of Trustees or the Council, as the case may be, setting forth in general but sufficient terms the work done during the month. 3. Every Committee of over ten members shall be at liberty to appoint an Executive Board. SECTION XVI. MEETINGS. 1. There shall be an annual meeting of the Club on the first Wednesday of April in each year, for the election of Trustees, Councillors, and members of the Committee on Membership, and for the transaction of such other business as may properly be brought before such meeting. 2. The voting at such election of members of the Board of Trustees shall be by ballot, and the candi- dates receiving the highest number of votes shall be elected. 3. Regular meetings of the Club shall be held on the first Wednesdays of February, June, October, and De- cember. 4. A special meeting of the Club shall be held upon the call of the Board of Trustees, or, if requested by CONSTITUTION. 27 the Council, or, in writing by at least twenty-five resi- dent members of the Club, upon the call of the President. Five days' notice in writing of such meeting shall be given to the resident members of the Club, mailed to their given addresses recorded in the Club books. This notice shall contain a statement of the object of suck special meeting, and no subject not so stated shall be considered. 5. Fifty members shall constitute a quorum of any general or special meeting of the Club. SECTION XVII. BY-LAWS AND CLUB RULES. By-Laws, except those of the Council, and Club Rules may be made, altered, or repealed by the Board of Trustees at any time, and shall take effect upon the posting of the same at the Club-house. SECTION XVIII. AMENDMENT. The Constitution may be amended by a vote of a majority of the whole Board of Trustees and of the Council, approved at a meeting of the Club by a two- thirds vote, or by a two-thirds vote of the Club at a meeting called for the purpose ; but no amendment to 28 THE CITY CLUB OF NEW YORK. the Constitution can be voted upon at any meeting of the Club unless such amendment has been posted in the Club-house for at least three weeks prior to such meet ing, and a copy of such proposed amendment mailed to each member at his registered address in the Club-book, at least two weeks prior to the time when such meeting is to occur. SECTION XIX. TIME OF TAKING EFFECT. This Constitution, as amended, shall be in effect on and after the first day of December, 1897. BY-LAWS BY-LAWS OF THE CLUB. SECTION I. ORDER OF BUSINESS. The following order of business shall be observed at meetings of the Board of Trustees : — (1) Reading the Minutes of the previous meeting. (2) Report of Treasurer. (3) Report of Secretary. (4) Reports of Standing Committees. (5) Reports of Special Committees. (6) Unfinished Business. (7) Miscellaneous Business. SECTION II. MEMBERSHIP. 1. Names of candidates for membership must be pro- posed and seconded in writing. The proposal shall contain the name of the candidate in full, his business and residence address, the nature of his business, and 32 THE CITY CLUB OF NEW YORK, his qualifications for membership, and must be accom- panied by letters from both proposer and seconder. 2. Candidates for resident membership must be pro- posed and seconded by resident members of the Club, other than members of the Committee on Membership. Candidates for suburban or for non-resident member- ship may be proposed and seconded by resident, sub- urban or non-resident members of the Club other than members of the Committee on Membership. 3. Balloting for members shall take place only at regular meetings of the Committee on Membership. 4. Any member of the Committee on Membership may, before the adjournment of the Committee, move the reconsideration of a vote of admission or exclusion, but after an adjournment no rejected candidate shall be again proposed within six months. 5. No conversation nor debate upon the subject of admissions, exclusions, expulsions, and no proceeding in reference to any member, nor the substance of the same, shall be disclosed by any member of the Board of Trustees or the Committee on Membership. 6. On the election of each new member the Secretary shall forthwith notify him thereof, furnish him with a copy of the Constitution and By-Laws of the Club, re- quest him to pay to the Treasurer the amount of the initiation fee and dues, and sign the Constitution. 7. Until the membership shall have reached the num- ber of seven hundred and fifty persons, the entrance fees of fifty dollars for resident members and twenty-five dollars for suburban members shall be remitted. BY-LAWS OF THE CLUB. 33 8. Every newly elected resident member shall pay dues at the rate of four dollars a month for the remainder of the fiscal half-year of the Club, exclusive of the month in which he is elected. Each newly elected suburban member shall pay dues at the rate of two dollars a month for the remainder of the fiscal half-year of the Club, ex- clusive of the month in which he is elected. Every newly elected non-resident member shall pay dues at the rate of one dollar a month for the remainder of the fiscal half-year of the Club, exclusive of the month in which he is elected. 9. Any member of the Club who has resigned, in good standing, may, if re-elected, be credited with the amount of any initiation fee paid by him. 10. The Secretary shall post the names of all mem- bers reported by the Treasurer to be indebted to the Club, immediately after the meetings of the Board of Trustees in May and November, and the date of post- ing shall be communicated to the members in arrears. A copy of this B)'-Law shall be printed in the notice calling for the payment of dues. SECTION III. COMMITTEES. 1. All standing committees shall be appointed an- nually by the Board of Trustees at its regular monthly meeting in November. 2. A fine of five dollars shall be imposed upon the chairman of any standing committee who fails to make a monthly report in writing to the Board of Trustees. 34 THE CITY CLUB OF NEW YORK,. SECTION IV. GUESTS The House Committee may make such rules as it may deem expedient in relation to granting the privi- leges of the Club to persons not members. SECTION V. COMPLAINTS. All complaints and suggestions in regard to the man- agement of the Club shall be made in writing to the Executive Committee of the Board of Trustees. BY-LAWS OF THE COUNCIL [Adopted 2nd March, 1900.] SECTION I. MEETINGS OF COUNCIL. 1. Regular monthly meetings of the Council shall be held at the Club-house on the fourth Thursday of each month, at 8:30 o'clock p. If. 2. A special meeting may be called at any time by the chairman, and must be called b}' him on the written re- quest of five members. SECTION II. ORDER OF BUSINESS. The following order of business shall be observed at meetings of the Council : — (1) Reading the minutes of the previous meeting. (2) Report of Treasurer. (3) Report of Secretary. A quorum of the Council shall consist of five members present and voting. SECTION IV. COMMITTEES. 1. The Standing Committees of the Council shall be : Committee on Legislation. Committee on Municipal Government. Committee on Co-operation and Affiliated Clubs. Committee on Organization. Committee on Publication and Records. Finance Committee. 2. The chairmen of the standing committees shall be appointed by and from the Council. Each standing committee shall elect a vice-chairman. 3. Any measure pending before the State Legislature ma} r be disapproved in the name of the Club by the Committee on Legislation, provided not less than five members concur in such disapproval. The committee may commit the Club to the approval of any measure before the Legislature or to be presented for legislative action, provided : — (1) The Council shall have pronounced in favor ofthe principles involved in such measure ; and (2) Seven members ofthe committee vote in favor of such measure. 4. The initiation of affirmative action on the part of the Club may proceed from the Council or from the Committee on Legislation. COMMITTEE ON ORGANIZATION. 1. The Committee on Organization shall consist of three members appointed by the Council. SECTION IX. COMMITTEE ON PUBLICATION AND RECORDS. 1. The Committee on Publication and Records shall consist of three members appointed by the Council. 40 THE CITY CLUB OF NEW YORK. SECTION X. FINANCES AND FINANCE COMMITTEE. 1. The fiscal year of the Council shall be the calendar year. 2. The Finance Committee shall consist of at least, five members, appointed by the Council, with power to appoint additional members. 3. Subject to the action of the Council, the Finance Committee shall administer the finances of the Council in accordance with these By-Laws. 4. The Finance Committee shall hold regular monthly meetings, at such time as the Committee may determine. 5. At the regular meeting of the Council held in Decem- ber, the Finance Committee shall submit a budget contain- ing a statement of the estimated receipts and expendi- tures for the succeeding fiscal year. The Council shall at this meeting, with due regard to the probable income, allot and appropriate to each part of the work of the Council a sum for its maintenance during the succeeding fiscal year. 6. All payments shall be by check upon presenta- tion of vouchers duly certified and approved. Each voucher shall, as far as practicable, contain items charge- able to one class of expenditures only. Each voucher shall be properly certified as to correctness by the authority ordering the expenditure, and shall be ap- proved for payment by the Chairman or the Vice-Chair- man of the Finance Committee, except that in case of BY-LAWS OF THE COUNCIL. 4-1 salaries of emploj-ees engaged upon authority of the Finance Committee, and in the case of expenditures for postage and petty cash expenses, the approval for pay- ment of the Secretary of the Council upon the voucher shall be sufficient. 7. Each voucher shall state upon its face the account to which it is chargeable. 8. The Treasurer of the Council shall keep a check book, a cash book and a ledger. All receipts and ex- penditures shall be entered in the cash book. Each voucher, upon being entered in the cash book, shall be numbered, and the number, together with a summary of the nature of the expenditure, shall be duly set forth. The number of the check by which payment is made shall also be entered. The Ledger shall contain the following accounts : General Fund. An account for any fund raised for a special purpose, the title of the account to indicate the nature of the fund. Office salaries (including Secretary's). Printing. Library and Binding. Postage. Telephone, Messenger Service, etc. Stationery and Office Supplies. General Expense. Newspapers and Periodicals. Furniture. 42 THE CITY CLUB OF NEW YORK. Legislation Committee. Municipal Government Committee. An account setting forth the expenditures for any purpose for which a special appropriation is made by the Council, the title of such account to indicate as clearly as possible the object of the appropriation. The Treasurer shall submit to the Finance Committee at each monthly meeting a balance sheet of the ledger accounts taken at the close of business on the last day of the preceding month. He shall also submit a state- ment showing the disposition of the cash balance at the time of taking the balance sheet. 9. No expenditure exceeding two hundred and fifty dollars shall be authorized by any standing committee, or by any special committee of the Council for whose use an appropriation is made, without the approval in advance of the Chairman or the Vice-Chairman of the Finance Committee. 10. All expenditures made by any standing com- mittee or any special committee of the Council, shall be duly entered in the minutes of the committee, together with the action of the committee approving such ex- penditures. SECTION XI. SECRETARY OF THE COUNCIL. 1. The Secretary of the Council shall hold no other office in the Club. BY-LAWS OF THE COUNCIL. 43 2. The Secretary shall be paid an annual salary to be fixed by the Council. 3. The Secretary shall have his office at such place as the Council shall designate, and shall be at the service of the Council and of all its committees. SECTION XII. VACANCIES IN THE COUNCIL. Vacancies in the Council shall be filled by nomination and by election by ballot. SECTION XIII. AMENDMENT. 1. These By-Laws may be repealed, altered, or amend- ed by a majority vote of not less than seven members of the Council at any regular meeting next following a meeting at which such repeal, alteration, or amendment shall have been proposed. 2. It shall be the duty of the Secretary to supply every member of the Council with a written copy of such pro- posed repeal, alteration or amendment, immediately after the same shall have been introduced. THE COUNCIL'S PROGRAMME OF WORK PROGRAMME OF WORK ADOPTED BY THE COUNCIL OF THE CITY CLUB OF NEW YORK 10th April, 1900. 1. — The enactment of a law to forbid the payment of political assessments or contributions by candidates for judicial office. 2. — The enactment of the amendments to the election law proposed by the Club and introduced in the Senate in 1900 by Senator Elsberg, and in the Assembly by Mr. Fallows. 3. — The enactment of a law to secure freedom of nominations to public elective office. 4. — Consideration of the subject of proportional, or minority, representation, and the preparation of legis- lation upon the subject. 5. — Watching and reporting upon proposed legislation affecting the City of New York, and endeavoring to se- cure the enactment of desirable measures and to de- feat improper measures. 6. — Consideration of the subject of water supply, and advocacy of proper legislation to protect the interests of the city, and to insure the continuance of the policy L8 THE CITY CLUB OF NEW YORK. of municipal ownership of water works. Continued efforts to impress upon the city authorities and the pub- lic the facts in connection with the enormous prevent- able loss and waste of water. 7. — Watching and reporting upon the work of the municipal assembly, and upon the administration of the departments of the city government as occasion may arise. 8. — Watching and reporting upon the work of the Board of Education and the School Boards, and advo- cating a proper educational system, such as that em- bodied in the bills approved by The City Club this year. 9. — Careful and full investigation of the subject of the public franchises in the city. 10. — Watching and reporting upon the work of the Charter Revision Commission. 11. — Publication of documents relating to the above subjects. HOUSE RULES HOUSE RULES RULE I. HOURS. 1. The house will be opened at seven o'clock A.M. Members will not be admitted after one o'clock A.M. 2. The restaurant will be opened at seven thirty o'clock A.M. and will be closed, except when otherwise ordered by the House Committee, at nine o'clock P.M. The dinner of the da\- will be served from six o'clock to eight o'clock P.M. 3. The bar will be opened at seven thirty o'clock A.M. and will be closed at one o'clock A.M. RULE II. RESTRICTIONS. 1. Smoking will not be permitted in the main dining- room before eight o'clock P.M., but will be permitted in the small dining-room adjoining the reading-room, and in other parts of the Club-house at an}- hour. 2. No game or play for a wager or stake will be per- mitted in any part of the Club-house, and any member violating this rule will be liable to expulsion. 52 THE CITY CLUB OF NEW YORK. 3. No member or guest of the Club shall give a fee or gratuity of any kind, to any employee of the Club, ex- cept on the annual subscription list. Any employee re- ceiving a fee or gratuity in violation of this rule will be at once dismissed. 4. No servant of the Club shall be sent out of the Club-house for any purpose. On application at the office, messengers will be furnished at the regular mes- senger rates. 5. No subscription paper or notice of any description, other than official notices, shall be posted in the Club- house or circulated in the Club without the permission of the House Committee. 6. No newspapers, magazines, books or other articles, the property of the Club, shall be removed from the library or reading-room ; nor shall they be cut, marked or otherwise defaced. 7. Loud conversation will not be permitted in the reading-room. RULE III. ACCOUNTS. 1. On the first day of each month, or as soon there- after as practicable, a £rst notice shall be sent to each member, showing the amount of his indebtedness to the Club on the last day of the preceding month. If such indebtedness exceed $10 and is not paid within two weeks after the mailing of such notice, the name of the HOUSE RULES. 53 member, with the amount due, shall be posted, and such member shall be refused further credit until his in- debtedness is discharged. 2. On the expiration of two weeks after the mailing of the first notice of indebtedness, if the indebtedness exceed $10 and remain unpaid, a second notice shall be mailed to the member, notifying him of the date on which his name shall have been posted and that in the event of his failure to pay his indebtedness, as provided in Article X, Section 5, of the Constitution, he will be charged with such failure at the next meeting of the Board of Trustees. 3. Whensoever a member shall become indebted to the Club in the sum of $100 or more, he shall be imme- diately notified thereof, and upon his failure to pay such indebtedness forthwith, his credit shall be suspended until such indebtedness shall have been discharged. 4. Payments shall be made only to the office (if by check, to the order of The City Club of New York), and vouchers for the amount paid will be delivered to mem- bers upon payment. 5. Members may have their checks cashed at the office for an amount not exceeding $25 in one day. 6. All orders and alterations of orders must be signed by members. RULE IV. COMPLAINTS. All requests and complaints regarding the restaurant, bar, or service of the Club must be made in writing, 54 THE CITY CLUB OF NEW YORK. signed, addressed to the House Committee, and de- posited in the box provided for the purpose at the office. RULE V. VISITORS. 1. Any member may introduce one or more visitors for one day to the privileges of the Club, but no person shall be so introduced more than once in each month. 2. Persons not residing in the City of New York may be introduced by a member as visitors for one week. A renewal of this privilege for an additional week may be granted on application to the House Committee. 3. Any invitation or privilege extended to visitors may be withdrawn or cancelled by the House Committee. 4. The names and residences of all visitors, and the names of the members introducing them, must be re- corded in the book kept for that purpose, and members shall be held responsible for their guests in all respects, including their indebtedness to the Club. 5. The privileges of the house and the restaurant will be extended to ladies, introduced by members in person or by card, on any day between the hours of eleven o'clock A.M. and four o'clock P.M. Wheeler 62 THE CITY CLUB OF NEW YORK. PROPOSALS FOR MEMBERSHIP. The Secretary of the Committee shall prepare a blank form, upon which all nominations for membership shall be made. It shall contain a statement that the candi- date is in sympathy with the objects of the Club, and give the name of the candidate in full, his business and residence addresses, the nature of his business, and his age. It shall be signed by the proposer and seconder of the candidate ; but they may in writing authorize the Secre- tary of the Committee to sign for them. The proposers and seconders of candidates for resident membership must be resident members of the Club. Candidates for non-resident membership may be pro- posed or seconded by either resident or non-resident members of the Club. Each proposer and seconder shall also write to the Committee a letter of recommendation of the candidate, giving such particulars about him as will aid the Com- mittee in their deliberations. All such letters shall be considered as confidential and no members of the Com- mittee shall be at liberty to disclose the contents. No member of the Committee shall either propose or second a candidate. POSTING. When a nomination of a candidate for membership has been received, together with the letters of recommenda- tion from his proposer and seconder, his name and the names of his proposer and seconder shall be forthwith posted upon the bulletin board of the Club.
