CLASSIFICATION OF MEMBERS. Article 3. — The Members of the Society shall be classified as Territorial and State members. QUALIFICATIONS OF TERRITORIAL MEMBERS. Article 4. — All persons of good character and correct de- portment, who were for any period in California prior to the gth 11 Afi.^?^ ^ ^7^1 day of September, 1850 (the date of the admission of the State of California into the Union), all who served in the Navy of the United States, on the Coast of California when it was conquered from Mexico, and the male descendants of all such, of lawful age shall be eligible to Territorial membership, QUALIFICATIONS OF STATE MEMBERS. Article 5. — All persons of good character and correct deport- ment, whose residence in California dated subsequent to the gth day of September, 1850, and who were residents of the State for the period of one year prior to the ist day of January, i860, shall be eligible to State membership on the same terms as other members, and shall be entitled to all the privileges of the Society, except to hold office Trustees, who shall make due inquiry into tlie character anu antecedents of the applicant, and upon the return of the ap- plication by them, as approved, the Secretary shall notify the applicant of his election. INITIATORY DUES. Article 7. — Each person on admission as a member of the Society, sha!" pay into its treasury the sum of ten dollars, and I 12 -^^^1^' ^5 Sf shall sign the Articles of Association with his name in full, and the day of the month and year of his arrival in California ; and if any person residing in the City of New York for two months after his notification by the Secretary of his election, or if resid- ing outside of the City of New York, for three months after said notification shall neglect to pay his membership fee, and sign the Articles of Association, he shall be considered as havingf declined to become a member. The Secretary shall not enter the name of any newly elected member upon the roll of mem- bership until the admission fee has been paid into the Treasury. ANNUAL DUES. Article 8. — The Annual dues of the Society are payable on or before the first day of July of each year, and shall be assessed as follows : All members residing in the City of New York, or within a distance of fifty miles thereof, shall be known as class " A," and assessed three dollars per annum; members residing more than fifty miles from the City of New York, shall be known as class "B," and assessed two dollars per annum. In the event of a deficiency occurring in the amount required to meet the expenses of the Society in any year, it shall be the duty of the Treasurer to assess those in class " A " pro rata, to make up the amount required. Such assessment not to exceed the sum of one dollar to any one member. PROCEEDINGS OR CHARGES AGAINST MEMBERS. Article 9. — Any member who shall be accused of moral tur- pitude or misconduct, inconsistent with his obligations as a ■Nfl _'S \.(_#l 13 ^^^ f. * member of the Society, or who shall make a false representation of the time of his arrival in California, shall be notified to ap- pear before the Board of Trustees, and if found guilty, shall be reprimanded or expelled by said Board ; and notice thereof shall be given to the members by the Board, through the Secre- tary, stating the reason of said action : provided, that the mem- ber shall have the right to appeal to the next annual meeting of the Societ}^ by filing in the Secretary's office notice of his inten- tion so to appeal within one month after the service upon him of the notice of the judgment of the Board, and unless the decis- ion of the Board be affirmed by a vote of a majority of the mem- bers present, the action of the Board shall be of no effect. OFFICERS OF THE SOCIETY AND THEIR ELECTION. Article io. — The officers of this Society shall consist of a President, ten Vice-Presidents, Secretary, Treasurer and a Board of Trustees, to consist of nine members. The election for officers, all of whom shall be duly qualified members of the Society (as per article 4,) shall be holden at the annual meeting, and their election shall be by ballot. The officers of the Society shall hold office for one year, or until their successors have been elected and qualified. PRESIDENT. Article ii. — The President shall preside at the meetings of the Society, and of the Board of Trustees. He shall preserve order, announce the order of business, and decide questions subject to an appeal by any two members. He is also empowered to call a special meeting of the Society at any time that it may, in his opinion, be deemed necessary, the call f 14 s to be made through the Secretary of the Society, by written or printed notice to each member. Upon the decease of a mem- ber of the Society, he shall, in conjunction with the Secretary, arrange for a suitable attendance of Associates at the funeral ceremonies whenever such attendance is practicable, and shall cause such floral tribute or other testimonial of respect as shall be suitable and consistent with the purposes and means of the Society, to be forwarded to the friends and relatives of the de- ceased. When the funeral takes place at a greater distance than ten miles from the City of New York, and not more than one hundred miles, the President may appoint three members to attend the funeral of said associate. VICE-PRESIDENTS. Article 12. — The First Vice-President shall preside and perform all the duties of the office of the President in the absence or disqualification of that officer ; and in the event of the death or resignation of the President, he shall succeed him during the remainder of his term ; and in the absence of the President and the First Vice-President, the senior Vice-Presi- dent present shall perform the duties of the office. SECRETARY. Article 13. — The Secretary shall keep a record of all the pro- ceedings of the Society, and of the Board of Trustees. He shall record its Articles of Association in a book to be kept solely for such purpose. He shall register the names of members, and shall have charge of the roll of members. He shall be responsible for the safe keeping of all books of record and papers belonging to the office of Secretary, and c^ 15 ^^^ '■ o .■ t^ f shall render a report of his official work for the year at the an- nual meeting. He shall, on the decease of any member of the Society, notify the members of such death, and the time and place of the funeral, and shall, under the direction of the Presi- dent, cause a suitable tribute to be forwarded in the name of the Society to the locality where the funeral is to take place. He shall, whenever directed by the President give the mem- bers of the Society and Board of Trustees proper notice of all meetings, and shall perform such other duties as may be assigned lo him by the Board of Trustees. An appropriation shall be made at each Annual meeting from the general fund of the Society, to the Secretary for the expenses of stationery, printing, postage, messengers, services employed, etc., in the discharge of the duties of his office for the current year. TREASURER. Article 14. — The Treasurer shall collect the admission fees and dues, and shall hold all the money, evidences of indebtedness and valuable documents of the Society He shall not pay any money except upon an authorization signed by the President and countersigned by the Secretary of the Society. He shall keep a regular account of the financial affairs of the Society, an abstract of which he shall exhibit, accompanied by satisfactory vouchers, at each annual meeting of the Society; at the expira- tion of his term of office he shall deliver to his successor all moneys, evidences of indebtedness, valuable documents books, vouchers, and other papers in his possession belonging to the Society. 16 \^^e)- All expense for stationery, printing, postage, etc., incurred by the Treasurer and Secretary shall be paid out of the annual appro- priation to the Secretary for such purpose. The treasurer shall pay the necessary traveling expenses of members appointed by the President to attend the funerals of deceased members, where the distance traveled exceeds ten miles from the City of New York. LIBRARIAN. Article 15.— It shall be the duty of the Librarian to keep a full and accurate catalogue of all the books, magazines, maps, charts, relics or other property belonging to the Society, and ar- range them in proper order. He shall make a record of all the books or other donations presented to the Society, in a book providedforthatpurpose, with the names of the donors, and make suitable acknowledgment of the same. The Secretary shall be ex-officio Librarian of the Society under such regulations as the Board of Trustees may from time to time direct, which instructions shall be given to the Librarian in writing, under the signature of the President of the Society. BOARD OF TRUSTEES. Article 16.— The Board of Trustees, of which the President and Secretary shall be members, by virtue of their respective offices, shall meet for the transaction of Business at such time and place as the President of the Society may direct. The President of the Board shall, upon the receipt of an application for membership from the office of the Secretary of the Society, make inquiry as to the moral character and social e7 17 -53^^ ■JO >;::7^ .^^^sj liii Standing of the applicant ; and if the information received be satisfactory, the application shall be returned with the indorse- ment fl;/>/rt'^'^^ ; if to the contrary, it shall be indorsed r^V^/^^, and shall be signed by at least five other members of the Board. A majority of the members of the Board shall constitute a quorum to transact the business of the Society. The Board shall have charge and control of the personal property of the Society. The Board is empowered to fill vacancies occurring in any office, except that of President, until the next annuual meeting. The Board shall examine all bills paid by the Treasurer, at least once every twelve months. When the Board shall be satisfied that any worthy member of the Society is unable, for the time being, to pay the yearly dues hereintofore prescribed, it shall have power to remit such dues. But if any member of this Society, having the ability to pay the yearly dues hereintofore prescribed, shall refuse or neglect to pay the same, on or before the 31st day of December of the year in which the dues are assessed, he shall be debarred from all privi- leges of the Society, the Secretary shall cause his name to be erased from the roll, and he shall not again be admitted as a member except by the payment of all arrears. ANNUAL MEETING. Article 17. — The annual meeting of the Society shall be held on the gth day of January of each year, that being the anniversary of the battle of Los Angeles (1847) in California. When that date falls on Sunday, the following Monday shall be substituted. ^( t ^m^ ■ ^ 5^s^ 18 ^:S^^ ^mm ANNUAL CELEBRATIONS. Article i8. — The Board of Trustees are empowered to make all suitable arrangements for the Annual Dinner of the Society, which shall take place on the i8th of January. (The anniversary of the discovery of gold at Sutter's Saw Mill, Coloma). The Trustees may also provide for the appropriate celebration of the gth day of September, known in California as "Admission Day." When said dates shall fall on a Saturday or Sunday, the follow- ing Monday shall be substituted as the day of celebration. The Treasurer of the Society shall under the direction of the Trustees, liquidate out of the general fund any deficiency that may occur in providing the Annual Dinner. ARTICLES OF ASSOCIATION, HOV/ AMENDED. Article 19. — The Articles of Association maybe amended at any annual meeting of the Society, upon the vote of two-thirds of the members present, provided notice of such amendment has been filed with the Secretary at least thirty days prior to the an- nual meeting. ARTICLES TO TAKE EFFECT. The books above enumerated are now at the disposal of mem- bers who may have the use of them by application to the Libra- rian ; members residing at a distance from the city will receive them by mail or express — the forwarding and returning of the books to be at the expense of the member desiring their use. Books should not be retained for a longer period than one month.
