Stuart, Samuel H. Treat, Jesse K. Dubois, 0. M. Hatch, James C. Conkling, Thomas J. Dennis, John Williams, Jacob Bunn, S. H. Melvin, David L. Phillips, all being of full age, and citizens of the United States, and of the State of Illinois, certify that we do hereby associate ourselves under and by virtue of an act of the General Assembly of the State of Illinois, entitled "An act for the incorporation of Benevo- lent, Educational, Literary, Musical, Scientific and Missionary Societies, including societies formed for Mutual Improvement, or for the promotion of the Arts," approved February 24, 1859, by the following name and for the purpose herein specified. ARTICLE I. This association shall be called "The National Lincoln Monument Asso- ciation," and be located at Springfield, State of Illinois, and shall contin- ue in existence for the term of twenty years. ARTICLE II. The object of this association shall be to construct a Monument to the memory of Abraham Lincoln, in the city of Springfield, State of Illinois. ARTICLE III. The following persons shall be the directors of this association during the first year of its existence: Richard J. Oglesby, Sharon Tyndale, 0. H. Miner, James H. Beveridge, Newton Bateman, John T. Stuart, Jesse K. Du- bois, 0. M. Hatch, James C. Conkling, Thomas J. Dennis, John Williams, Jacob Bunn, S. H. Melvin, Samuel H. Treat, David L. Phillips. Before the undersigned, a Notary Public, within and for the city afore- said, on this 11th day of May, a. d. 1865, personally appeared Richard J. Oglesby, Sharon Tyndale, Orlin H. Miner, Newton Bateman, John T. Stuart, Samuel H. Treat, Jesse K. Dubois, Ozias M. Hatch, James C. Conkling, Samuel H. Melvin, John Williams, James H. Beveridge, Jacob Bunn, Thom- as J. Dennis, and David L. Phillips, the parties named in the foregoing ar- ticle of association, and whose genuine signatures were affixed thereto in my presence, and severally acknowledged the execution thereof to be their free and voluntary act and deed for the purposes therein expressed. Witness my hand and seal notarial, the day and year above [seal.] written. HALL WILSON, N, P. BY-LAWS AND REGULATIONS. ARTICLE I. Section 1, The stated meetings of the association shall be held in the State Library Room on Thursday of each week, at 4 o'clock p. m., until otherwise ordered. Special meetings may be called by the President, or, in his absence, by the Vice President, and by the Executive Committee, of which special meetings all the directors shall be duly notified by the Secre- tary. A majority of the directors shall be a quorum for business, Sec, 2. The stated annual meeting of the association shall be held on the second Thursday of May in each year. ARTICLE II. Sec. 1. The officers of the Association shall be a President, Yice PresU dent, Secretary and Treasurer, who shall hold their offices for one year, and until their successors are elected and qualified, unless sooner removed by the Association. All officers shall be elected at the stated annual meet-, ing, and the votes of a majority of the board of corporators shall elect. Sec 2. The President shall perform all the duties usually devolving upon a presiding officer. He shall appoint all special committees, unless otherwise ordered by the board of directors. He shall sign all orders upon the Treasurer, when such orders have been authorized by the directors, In his absence the Vice President shall assume the duties and have the powers of the President ; and, in the absence of the Vice President, the directors shall appoint a President, pro tempore, who, in like manner, shall have the powers and perform the duties of President. Sec 3. The Secretary shall keep a faithful record of the proceedings of t\\e Association, and shall perform all other duties usually devolving upon. [ 6 ] that officer. He shall countersign, and keep a record of all receipts for moneys issued by the Treasurer, and shall also countersign all orders drawn on the Treasurer, In his absence the directors shall appoint a Secretary, pro tempore, who shall have all the powers and perform all the duties of Secretary. Sec. 4. The Treasurer shall receive, and have the custody of all funds contributed for the objects of the Association, and shall not pay out any of said funds except upon orders drawn on him by the President, and coun- tersigned by the Secretary. He shall report in writing, the amount of funds received, paid out, and remaining on hand, as often as may be re- quired by the Association, He shall give bond, with such securities as the Association may approve, for the faithful discharge of the duties of his office. • ARTICLE III. COMMITTEES. Sec 1. The standing committees of the Association shall be as follows; An Executive Committee, of three members; and an Auditing Committee, of three members; and other standing committees may be appointed by the directors, when, in their judgment, the same shall be necessary. The standing committees appointed during the first year, shall hereafter be elected or appointed at the stated annual meeting, in the same manner, and for the same time as the officers of the Association are elected. A majori- ty of each committee shall be a quorum for business. Sec. 2. No committee of this body shall incur any pecuniary obligation in the name of the Association, without due authority conferred by the corporation. ARTICLE IV. DUTIES OF COMMITTEES. Sec. 1. The Executive Committee shall have power, and it shall be their duty, to act jn the name and by the authority of the Association, upon all such matters and questions as may arise in the prosecution of, or be necessary to the success of the Lincoln Monument enterprise, except in re- lation to the disposition or use of the funds of the Association, and such other matters as require the corporate authority and sanction of the Asso- ciation as such, and which cannot properly be delegated to a committee. Sec 2. The Auditing Committee shall examine all bills and accounts against the Association, and shall duly certify such as are found to be cor- rect. Sec 3. Each standing committee shall leport its transactions in full and in writing, at every stated meeting of the Association, m ARTICLE V. ORDER OP BUSINESS. Sec. 1. Until otherwise directed, the regular order of business at each stated meeting shall be as follows : 1. Reading Minutes. 2. Reports of Special Committees. 3. Reports of Standing Committees. 4. Treasurer's Report. 5. Communications. 6. Motions and Resolutions. . V. Unfinished Business: 8. General Business. ARTICLE VI. HONORARY MEMBERS. Sec. 1. Any person may become an honorary member of this Associa- tion by the payment of ten dollars to its funds, which will entitle him to an appropriate certificate of such membership. ARTICLE VII. VACANCIES, etc. Sec 1. All vacancies in the offices, directors or corporators, may be filled at any stated meeting by a vote of the Association, a majority of the votes cast being necessary to a choice. Sec. 2. All resolutions shall be presented in writing, and motions shall be reduced to writing when requested by the President or Secretary. Sec 3. These by-laws and regulations may be altered, amended or re- pealed at any stated meeting, by a vote of two-thirds of all the directors present. OFFICERS. Gov. RICHARD J. OGLESBY President. Hon. HATCH, \ Auditing Committee. «k H MELVIN,) MEMORIAL, To the Honorable t7ie Senate and House of Representatives of tlie General Assembly of the State of Illinois : The undersigned, members of the National Lincoln Monument Asso- ciation, would respectfully .represent : That when it was first made known that Abraham Lincoln had fallen by the hands of a foul assassin, amid the all-prevailing grief inspired by that event, there was assembled a public meeting of the people of the city of Springfield, and of Sanga- mon county— the old neighbors and friends of Mr. Lincoln, without dis- tinction of party. That meeting gave utterance to its profound sympathy in view of the calamity that had befallen the nation, by a series of reso- lutions, and appointed a committee to aid in arranging for the interment of his remains with appropriate honors. That committee, composed mostly of his old political friends, and al- together of personal friends, who had long known, loved and honored him living ; and, to the extent above indicated, representing those living where he had struggled with poverty and obscurity, and risen to be the leader of a great party, and then the honored chief of the nation, con- ceived, that if not germaine, it was not foreign to the task assigned them, to plan the erection of a monument at his home, while living and over his remains when dead, which should fitly illustrate his virtues and re- no wn, and be not unworthy of the genius, the civilization, and the dignity of his country and his age. In execution of that plan, they associated themselves into a corpora- tion, in pursuance of an act of the State of Illinois, entitled, "An act for the incorporation of Benevolent, Educational, Literary, Musical, Scien- tific and Missionary Societies, including societies for mutual improve- ment, or for the promotion of the arts," approved February 24, 1859. Your memorialists respectfully submit a copy of their articles of associa- tion, and by-laws and regulations. In further execution of their plan, through all channels and agencies seeming proper, they appealed, and do still appeal to the public for aid. The result of that appeal thus far may be seen in the appended state- [10] ment of collections and expenditures, showing a balance on hand of seventy -five thousand, eight hundred dollars, invested in Government and State bonds, deposited with Jacob Bunn, esq. Your memorialists believe their plan cannot be accomplished with a less sum than two hundred and fifty thousand dollars, and until the col- lection of that sum is more nearly approximated, they have not thought proper to adopt any of the numerous monumental designs submitted to their consideration. We therefore address ourselves to you for aid; to you, the representatives of the majesty and resources of the great State which sent him forth as a chosen son to bear aloft the flag of the Union, amid the storms of battle and revolution, triumphant over treason. It is true, the name of Abraham Lincoln is one the world will not let die ; that without the aid of enduring marble, History, upon her ample page, will preserve his name through all coming time. But the lofty monument, built by voluntary contributions, will attest the gratitude of his cotemporaries for his services, and their appreciation of his virtues, and will excite the emulation of youth, by showing how exalted worth is honored. Your memorialists would therefore respectfully ask your honorable body for such an appropriation as in your wisdom j r ou may think worthy of the State, and of the illustrious man whom it is propoposed to honor.
