M. Ramsey, Anson Nelson, R C. Foster, 4, M.D., J. H. Currey, Charles Ready, G. P. Thniston and J. B. Lindsley are hereby constituted a body politic and corporate, by the name and style of The Tennessee Historical Society. The general purpose of this Society is to collect, preserve and per- petuate facts and events connected with the history of Tennessee, the objects of the Association coming within the purview of the third paragraph of the first section of an Act of the General Assembly passed the 23rd day of March, 1875, entitled "An Act to provide for the organization of corporations," said paragraph being in these words : "The support of any literary or scientific undertaking, as a college or university, with power to confer degrees, an academy, a debating so- ciety lyceum, the support of a historical society, the promotion of music or fine arts, the support of boards of trade or chambers of com- merce, or other objects of like nature." The general powers of said corporation shall be to sue and be sued by the corporate name, to have and use a common seal, which it muy alter at pleasure ; if no common seal, then the signatures of the name of the corporation by any duly authorized officer shall be legal and binding ; to purchase and hold, or receive by gift, bequest or devise, in addition to the personal property owned by the corporation, real estate necessary for the transaction of corporate business, and also to purchase or accept any real estate in payment or in part payment of any debt due to the corporation, and sell the same; to establish by- laws and make all rules and regulations not inconsistent with the laws and constitution, deemed expedient tor the management of corporate affairs; and to appoint such subordinate officers and agents, in addi- tion to a President and Secretary or Treasurer, as the business of the corporation may require, designate the name of the officer, and fix the compensation of the oflSce. in Charter of the The said five or more corporators shall, within a convenient time after the registration of this charter in the ofiice of the Secretary of State, elect from their number a President, Secretary and Treasurer, or the last two officers may be combined into one. Said officers and the other corporators to constitute the first Board of Directors. In all elections each member shall be entitled to one vote, either in person or by proxy, and the result to be determined by a majority of votes cast. Due notice of any election must be given by advertisement in a newspaper, personal notice to the members, or a day stated on the minutes of the Board six months preceding the election. The Board of Directors shall keep a record of all their proceedings, which shall be at all times subject to the inspection of any member. The corporation may establish branches in any other county in the State. The Board of Directors may have the power to increase the number of Directors to seven or ten, if they deem the interest of the corpora- tion requires such increase ; and the first or any subsequent Board of Directors may have the power to elect other members, who. on accept- ance of membership, shall become corporators equally with the origi- nal corporators. The Board of Directors shall have the right to determine what amount of money paid into the treasury shall be a prerequisite for membership, or if necessary, what amount shall be thus annually paid, and a failure thus to pay shall, in the di-^cretion of the Directors, jus- tify the expulsion of said defaulting member. If said corporation is organized as a literary or educational institute, under the patronage of any Christian or Jewish denomination, the corporation .«hall have the power to increase the number of Directors or Trustees, to regulate the mode and manner of appointment of the same, or expiration of terms of service ; to regulate the number, duty and manner of election of officers, either actual or ex-officio; to appoint executive agencies, and to pass all other by-laws for the government of said institution as may be required by the denominations establishing the same; provided, said by-laws are not inconsistent with the Consti- tution and laws of this State. The terms of all officers may be fixed by the by-laws ; the said term, however, not to exceed three years. All officers hold over until their successors are duly elected and qualified. Tennessee Historical Society. 11 The general welfare of the Society, not individual profit, is the object for which this charter is granted, and hence the members are not stockholders in the legal sense ot the term, and no dividends or profits shall be divided among the members. The members may at any time voluntarily dissolve the corporation by a conveyance of its assets and property to any other corporation holding a charter from the State for purposes not for individual profit, first providing for corporate debts. A violation of any provisions of this charter shall subject the corporation to dissolution at the instance of the State. This charter is subject to modification or amendment, and in case said modifications or amendment is not accepted the corporate business is to cease, and the assets and property, after the payment of debts, are to be conveyed, as aforesaid, to some other cor- poration holding a charter to purposes not connected with individual profit. Acquiescence in any modifications thus declared shall be determined in a meeting of the members specially called for that purpose, and only those voting in favor of the modification shall thereafter compose the corporation. The means, assets, inc >raes, or other property of the corporation, shall not be employed, directly or indirectly, for any other purpose whatever than to accomplish the legitimate objects of its creation, and by no implication shall it possess the power to issue notes or currency, deal in currency, notes, or loan, buy or sell products, or engage in any kinds of tradings, nor hold any more real estate than is necessary for its legitimate purposes. Expulsion shall be the only remedy for the non-payment of dues by the members, and there shall be no individual liability against the members for creating debts, but the entire corporate property shall be liable for the claims of creditors. We, the undersigned, apply to the State of Tennessee, by virtue of the laws of the land, for a charter of incorporation for the purpose and with the power, etc.. declared in the foregoing instrument. The object of the Society is to discover, procure and preserve whatever relates to the natui'al, aboriginal, civil, political, literary and ecclesiastical history of the United States in general, and of the State of Tennessee in particular. MEMBERS. III. [Amended Nov., 1878.] The Society shall consist of active, corresponding, honorary and life members. Active members shall be persons residing in the State of Tennessee. Corresponding members shall be persons residing outside of Nashville Honorary members may be persons residing in Nashville or elsewhere. No more than twelve honorary members can be elected in one year. ELECTION OF MEMBERS. IV. Members shall be elected as follows : The candidates shall be proposed publicly at a meeting of the Society by a member thereof; and the nominations, together with the names of the members making them, shall be entered on the minutes, and be referred to the Execu- tive Committee. The reports of that Committee recommending can- didates for election shall be openly read to the Society, at a meeting subsequent to that at which the nominations were made, and if any member demands a ballot the election shall be by ballot, and three noes shall exclude. If no ballot be den)anded the candidate so recom- mended shall be declared duly elected a member of the Society. FEES AND DUES. V. [Amended May, 1876.] From and after the first day of May, 1876, each active member, on admi.«sion, shall pay Three Dollars as an initiation fee and dues for the current year, and annually thereafter 14- By-Laivs of the Two Dollars as dues; or in lieu liiereof a life membership of Fifty Dollars as a commutatiou for all regular fees and dues. Should any active member, other than a life member, fail to pay the said fees and dues for two years suct-essively, or at any time refuse to pay the same, the Executive Committee shall erase his name from the list of mem- bers, and he shall no longer be a member of the Society. OFFICERS VI. [Amended Nov., 1878.] The officers of the Society are a President, a First Vice-President, a Second Vice-President, a Corres- ponding Secretary, a Recording Secretary, a Treasurer, and a Librari- an. They shall be elected annually, by ballot, and shall hold their offices respectively for one year, and until others shall be chosen in their places. Only active and life members can be officers of the Society. Every member is entitled to one vote at all elections, and absent members must send their proxies to the Corresponding Secre- tary at least one day before each regular meeting. EXECUTIVE COMMITTEE. VII. [Amended Nov., 1878.] The Board of Directors named in the charter shall be known as the Executive Committee, and shall consist of the seven officers of the Society ANNUAL MEETING. VIII. The Society shall hold an annuul meeting on the first Tues- day in jNIay in each and every year hereafter, at which a general elec- tion of officers by ballot shall take place. In such election a majority of the ballot given for any officer shall constitute a choice ; but if on the first ballot no person shall receive such majority, then a further balloting shall take place, in which a plurality of votes given for any officer shall determine the choice. VACANCIES. IX. If a vacancy shall happen in any of the offices of the Society, it may be filled by a special election, or at a stated meeting of the Society ; and the person so elected to fill a vacancy shall hold his office for the unexpired term of his immediate predecessor in office, and until another shall be elected in his place. Vacancies in commit- tees shall be filled immediately on their occurrence, and in the manner of the original appointment of the committee. Tennessee Historical Society. 15 STATED AND SPECIAL MEETINGS. X. The Society shall meet statedly for the transaction of business on the first Tuesday in every alternate month, unless otherwise special- ly ordered. But the President, or in his absence either of the Vice- Presidents, may, and upon the written request ol any five members shall, call a special meeting, giving three days' notice thereof, to be published in at least one public newspaper printed in the city of Nash- ville. ORDER OF BUSINESS. XI. At the Stated meeting of the Society the following shall be the order of business: 1. The reading of the minutes of the last meeting. 2. Reports and communications fronj oiBcers of the Society. 3. Reports of the Executive and other standing committees. 4. Reports of special committees. 5. Election of members previously proposed. 6. Nomination of new members. 7. Papers read and addresses delivered before the Society. 8. Miscellaneous business. ANNIVERSARY. XII. On the first Tuesday in May in each year, being the anniver- sary of the Society, there shall be an address delivered before the So- ciety by the President or some other person appointed by the Execu- tive Committee. QUORUM. XIII. At all meetings of the Society five members shall constitute a quorum for the transaction of business. PRESIDING OFFICER. XIV. The President, or in his absence one of the Vice-Presidents, or in their absence a Chairman pro tempore, shall preside at all meet- ings. He shall preserve order, and shall decide all questions of order, subject to an appeal to the Society. He shall also appoint all commit- tees authorized by the Society. CORRESPONDING SECRETARY. XV. The Corresponding Secretary shall conduct the general cor- respondence of the Society. He shall at every meeting report to the Society all letters written and received. H^ shall notify all members 16 By- Law f! of the of their election, and shall transmit to them their diploma or certifi- cate of membership. He shall keep a true copy of all letters written, and preserve all letters or communications received, and deposit the same with the Librarian. He shall also have charge of the seal of the Society and all blank certificates of membership, and keep the sj^me in a secure place. RECORDING SECRETARY. XVI. The Recording .Secretary .«hall have charge of the charter, by-laws and records of the Society, and together with the presiding oflBcer shall certify all acts of the Society. He shall, under the direc- tion.s of the President, or either of the Vice-Presidents, give due notice of the time and place of all meetings of the Society, and attend the same. He shall keep fair and accurate records of all the proceedings and orders of the Society, and shall give notice to the several officers and to the Executive and other committees, of all votes, orders, re- solveS; and the proceedings of the Society aflfecting them or appertain- ing to their respective duties. TREASURER. XVII. The Treasurer shall collect and keep the funds and securi- ties of the Society, and so often as the funds shall amount to one hun- dred dollars they shall be deposited in some bank in this city to the credit of "The Tennessee Historical Soei*>ty," and shall be drawn thence on the check of the Treasurer for the purposes of the Society only. Out of the.«e sums he shall pay such sums only as may be ordered by the Society or by the Executive Committee. He shall keep a true account of his receipt.-^ and payments, and at each annual meeting render the same t© the Society, when a committee shall be appointed to audit liis accounts. If from the annual report there shall appear to be a balance again.-^t the Treasurer, no appropriation of money shall be made for any object but the neces-sary current ex- penses until such balance shall be paid. He shall, if ordered by the Society, give a bond for the sum of one thousand dollars LIBRARIAN AND CURATOR OF MUSEUM. XVIII. The Librarian shall have the charge and superintendence of the Library, and the care and arrangement of the books, manu- scripts and other articles belonging to the Society. He shall at any time when called upon by the Executive Committee prepare a cata- logue of all the books, manuscripts, and other articles belonging to Tennessee Historical Society. 17 the Society, and shall make such rules for the government of his de- partment as shall be approved by the Executive Committee, and shall once a year render a report of his department to the Society. EXECUTIVE COMMITTEE. XIX. It shall be the duty of the Executive Committee to solicit and receive donations for the Society ; to recommend plans for promoting its objects ; to digest and prepare business; to authorize the disburse- ment and expenditure of unappropriated money in the treasury for the payment of current expenses, fitting up the Library or cabinet, the ordinary purchase and binding of books, newspapers, etc., print- ing, and other necessary outlays. They shall have the power at any time they shall see fit to appoint a Janitor or Curator, and to prescribe the duties of the same, and to fix his salary. They shall, in connec- tion with the Librarian, have charge of the arrangement and regula- tion of the Library and collections, and approve any rules and regu- lations he shall make for the government of the Library, and at each annual meeting of the Society shall make a general report. They shall appoint a chairman, and at a meeting of their Committee three shall constitute a quorum. NUMBERS AND MEMBERS OF COMMITTEES. XX. All committees of the Society, other than the Executive Com- mittee, shall be composed of three members, unless otherwise specially ordered. SALARIES. XXI. No officers of the Society are to receive any salary, but the Corresponding Secretary, Recording Secretary and the Treasurer are exempt from all dues in lieu of their services. ALTERATION OF BY-LAWS. XXII. No alteration in the By-Laws of the Society shall be made unless such alteration shall have been openly proposed at a previous meeting and entered on the minutes, with the name of the member proposing the same, and shall be adopted by a majority of the mem- bers present at a stated meeting of the Society.
