Whereas, We, the undersigned, citi- zens of the Commonwealth of Pennsyl* vania, whose names are subscribed to this charter or certificate of incorpora» tion, have associated ourselves to- gether for the purposes and upon the terms and by the name herein stated, under the provisions of an Act of the General Assembly of the Common, wealth of Pennsylvania, entitled an Act to Provide for the Incorporation and Regulation of Certain Corpora* tions, approved the 29th day of April in the year of our Lord, one thousand eight hundred and seventy-four, and the several supplements thereto. We do therefore certify that: 1. The name of the corporation ia the "Lancaster County Historical Society." 2. The purposes for which this cor^ poration is formed are to promote the discovery, collection, preservation and publication, of the history, historical records and data of and relating to Lancaster City and County, the collec. tion and preservation of books, news- (1) papers, maps, genealogies, portraits, paintings, relics, engravings, manu- scripts, letters, journals and any or all materials which may establish or illus- trate such history, the growth and progress of population, wealth, educa- tion, agriculture, arts, manufactures and commerce in this City and County. 3. The business of the corporation is to be transacted in the City of Lan- caster. 4. The corporation shall have per. petual succession by its corporate name. 5. There is no capital stock, nor are there any shares of stock. The names and residences of the subscribers ap. pear by their signatures hereunto, 6. D. 1901, the foregoing Certificate of Incorporation having been duly acknowledged before the Recorder of Deeds of Lancaster county, and the same duly certified under the hand and official seal of the said Recorder of Deeds, and having been duly presented to me, the under* signed, a Law Judge of the said county, accompanied by a proof of the publication of the notice of such ap- plication, I certify that I have perused and examined said instrument, ano that I find the same in proper form and within the purposes named in the first class specified in the second sec tion of the Act of Assembly approved the twenty-ninth day of April, 1874, entitled "An Act to Provide for the Incorporation and Regulation of Cer. tain Corporations," and that the same appears lawful and not injurious to the community. That from and after the passage of this Act the Commissioners' Board of the re» spective counties of this Common- wealth may, in its discretion, pay out of the county funds not otherwise ap- propriated, and upon proper voucher being given, a sum not exceeding two hundred dollars annually, to the his- torical society of said county, to assist in paying the running expenses thereof. (6) Section 2. In order to entitle the said historical society to the said ap- propriation, the following conditions shall have been iirst complied with: The money shall be paid to the oldest society in each county, if there be more than one; it shall have been organized at least three years; incor* porated by the proper authority, and have an active membership of one hun- dred persons, each of whom shall have paid into the treasury of said society a membership fee of at least two dollars for the support of the same: And pro- vided further. That no appropriation under this Act shall be renewed until vouchers shall be first filed with the Board of County Commissioners, show- ink that the appropriation for the prior year shall have been expended for the purpose designated by this Act. Section 3. And be it further en- acted, that to entitle said society to re- ceive said appropriation it shall hold at least two public meetings yearly, whereat papers shall be read or dia- cussions held on historic subjects; that it shall have established a museum, wherein shall be deposited curios and other objects of interest re- lating to the history of county or State, and shall have adopted a constitution (7) and code of by-laws, and elected prope* officers to conduct its business. GRIEST, Secretary of the Commonwealth, («) Constitntion of tlie Society. Adopted May 4, 1906. Article I. Name. The name of the Society shall he the Lancaster County Historical Society. Article II. Object. Its object shall be the discovery, col- lection, preservation and publication of the history, historical records and data of and relating to Lancaster city and county; the collection and preservation of books, newspapers, maps, genealogies, portraits, paintings, relics, engravings, manuscripts, let. ters, journals and any and all ma- terials which may establish or illus- trate such history; the growth and progress of population, wealth, educa^ tion, agriculture, arts, manufactures and commerce in said city and county. Article III. Membership. The classification of membership in this Society shall be provided for by its by-laws, and such by-laws shall also provide as to the qualifications of members. (9) Article IV. Officers. The officers of the Society shall amended by the Executive Committee, subject to the approval of the Society. (10) By-Laws. Article I. Members and Membership. Section 1. The Society shall consist of active, honorary and life members. Section 2. Any reputable person in sympathy with the work and the aims of the Society shall be eligible to ac- tive membership. An admission fee ot one dollar ($1.00) shall be paid by each when elected, and an annual fee of one dollar ($1.00) payable on January 1st of each year and annually thereafter. Section 3. Any person distinguished in historical investigation or who ha* conferred benefit on the Society shall be eligible to honorary membership From this class of membership no dues shall be required and to such the publications of the Society shall be given. Section 4. Any active member may become a life member upon payment of the sum of $25.00 into the treasury at one time. Life members shall ba exempt from all dues and be entitled to receive the publications of the Society, and enjoy all privileges of active members. (11) Section 5. All members shall be elected by the Society at its stated meetings. Persons may be proposed for membership at any regular meet- ing by any member, in writing, and such persons may be elected by a ma- jority vote of those present at the next regular meeting. Section 6. Members whose dues re- main unpaid for two years may be dropped from the rolls. Anyone re- signing shall notify the Secretary. Article II. Officers and Their Duties. Section 1. The officers of the Society shall consist of a President, two Vice Presidents, Recording Secretary, Cor^ responding Secretary, Treasurer, Li- brarian and ten additional members ot the Society who shall comprise an Ex- ecutive Committee of seventeen, charged with the government of the society. They shall be elected by bal- lot at the annual meeting of the So- ciety on the first Friday after New Year in each year, and shall hold their offices for one year, or until their suc- cessors are elected. The officers shall be nominated at the December meet- ing in each year. Section 2, The President and Vice President shall perform the duties usual to such offices. Section 3. The Recording Secretary shall keep an accurate record of the (12) proceedings of the meetings of the Society in a book kept for that pur pose, and shall perform such other duties, as usually belong to the oifice of Secretary. Section 4. The Corresponding Sec- retary shall send out all notices of dues and notifications of meetings. Section 5. The Treasurer shall have charge of all moneys and securities ot the Society and shall give such bond as the management may direct. He shall disburse money only upon writ* ten warrants duly authorized by the Society and certified by the President. He shall present at the annual meeting in January each year a statement of the receipts and expenditures during the year, with a full report of the financial condition of the Society, which statement shall be audited by a committee of three members of the Society to be appointed by the Presi- dent. Section 4. The Librarian shall have charge of the library, archives and col- lections of the Society, and the ar- rangement for preservation of the same in good condition. He shall keep a catalogue of the books, manuscripts and collections of the Society with a record of the names of the donors of such articles as may be presented, and shall submit to the Society at its an- nual meeting in January a report of (13) the condition of the library, with sug- gestions for its improvement. Section 7. The Executive Committee shall be vested with the general man- agement of the business of the So» ciety. It shall arrange and digest the historical material collected from month to month and present the re- sults of its labor to the Society at its monthly meetings, besides making all the necessary arrangements to insure the interest and usefulness of said meetings. Article III. Meetings. Section 1. The regular meetings of the Society shall be held on the first Friday of each month and the annual meeting on the first Friday after New Year, at such time and place as may be determined by the Executive Com- mittee. Section 2. The Executive Committee shall meet at least once a month to consider and prepare a programme for the regular monthly meeting. Section 3. Adjourned or special meetings may be held at any time or place that may be designated by the President at the request of nine mem« bers of the Society. Article IV. Vacancies. Any vacancies occurring in the Board of Ofiicers or Executive Com- (14) mittee during the year shall be filled by election at the next monthly meet- ing after the vacancies occur. Article V. Quorum. Five members shall constitute a quorum of the Executive Committee and nine a quorum of the Society to transact business at the monthly, spe- cial or annual meeting. Article VI. Order of Business. The order of business at the stated meetings of the Society shall be as follows : 1. Reading of the minutes. 2. Reports of officers. 3. Nomination of members. * 4. Election of members^^ ^yC^V^A,^ 5. Unfinished business.^ f 6. New business. 7. Presentation of historical papers :^nd discussion thereon. 8. Adjournment. At the annual meeting the election of officers shall occur immediatelj after the election of members. Article VII. Amendments. Amendments to the by-laws shall be submitted in writing at a stated meet- ing and shall lie over until the next or a subsequent stated meeting, when they may" be adopted by a vote of two- thirds of the members present.
