The association organized under this constitution shall be known as the Century Club of Syracuse. Object. Sec. 2. The object of the Club shall be to promote social intercourse among its members, and to provide them with the conveniences of a Club House. ARTICLE II. Membership. Section 1. The number of resident members of this association shall not exceed two hundred and fifty. The number of non-resident and of honorary members shall not be limited. Candidates. Sec. 2. No person shall be elected a member of the Club, until he shall be twenty-one years of age, and his name shall have been proposed by two resident 14 AMENDED CONSTITUTION members of the Club, not Governors, and his name and place of residence, together with the names of his pro- posers, shall have been posted on the bulletin board of the Club House for fourteen days next prior to the date of his election. The election of all members shall be vested in the Board of Governors, and shall be by ballot at a regular or adjourned meeting of the Board. Two negative ballots shall defeat any candidate. Any member of the Board may, before adjournment of the meeting at which a ballot for membership has been taken, move a re-consideration thereof. Any person not residing within five miles of the City of Syracuse, may be elected a non-resident member; and any resi- dent member who removes his residence to a place not less than five miles from the city shall on written notice to the Secretary, become a non-resident member. Any non-resident member who shall remove his resi- dence to a place within five miles of the city may, upon application to and election by the Board of Governors, and upon paying to the Treasurer a sum equal to the difference between his original entrance fee and the entrance fee for resident members, at the time of such election, become a resident member ; but a failure to pay said sum shall be deemed a failure to pay dues, and shall subject the member thus in default to the penalties described in Section One of Article Five. Notice of Membership. Sec. 3. Upon the election of any person to member- ship, a notice thereof shall be mailed to such person by the Secretary. Within thirty days after the mailing of such notice, the person elected (except to honorary membership), shall subscribe the Constitution and By- Laws of this Club, or an agreement to observe the same, and every person elected to resident member- AMENDED CONSTITUTION 15 ship shall pay to the Treasurer an entrance fee of fifty dollars, and every person elected to a non-resident membership shall pay an entrance fee of twenty-five dollars. In default of such subscription and such pay- ment the election shall be void. Resignations. Sec. 4. Any member may withdraw from the Club after payment of all dues, by giving a written notice of his resignation to the Board of Governors, through the Secretary; and such written resignation shall oper- ate as a transfer to the Club of all his interest in the Club property. ARTICLE III. Officers, Their EeEction and Powers. Section 1. The officers of this Club shall be a Presi- dent, Vice-President, Secretary, Treasurer and nine Directors, who shall be known and described as "Governors,'' and they and said officers shall constitute the Board of Governors. A majority of such Board shall constitute a quorum. Election of Governors. Sec. 2. Three Governors shall be elected by the resi- dent members every year at the annual meeting of the Club, and their term of office shall be three years. No Governor shall be eligible for re-election until the lapse of one year after the expiration of his term of office. Election of Other Officers. Sec. 3. A President and Vice-President shall be elected by the resident members every year, at the an- 16 AMENDED CONSTITUTION nual meeting of the Club. The Governors elected by this Club shall elect annually a Treasurer and Secre- tary. The term of office of each officer shall begin on his election and continue as above prescribed and until the election of his successor. VacanciBs. Sec. 4. A vacancy in any office shall be filled until the next annual meeting of the Club, by the Board of Governors. Management and Control. Sec. S. The Board of Governors shall have the en- tire management and control of the Club property, and shall exercise general superintendence over the affairs of the Club. It shall have power to make or authorize all necessary contracts and expenditures, but it shall have no power to create an indebtedness to an amount exceeding in the aggregate five hundred dollars. The Board of Governors shall have full power to make, amend and repeal such by-laws, rules and regu- lations as it may deem necessary for the orderly con- duct and government of the members of the Club in the enjoyment of the conveniences and privileges of the Club property, and generally it shall have the power to do all things which it may deem ' necessary for the successful management of the affairs of the Club. It shall take cognizance of any and all infractions of the Constitution, by-laws and rules, and shall have power to enforce the same by fine, suspension or ex- pulsion. Removai, oe Officers. Sec. 6. The Board shall have power, by a two-thirds vote of all its members, to remove any officer of this AMENDED CONSTITUTION 17 association, and appoint his successor to serve until the next annual meeting of the Club. Remission op Fe£s and Dues. Sec. 7. The Board shall have power to remit the entrance fees or dues, or any part thereof, of any mem- ber, for such cause and during such period as it may deem advisable and proper. Members May Be Expelled, Etc. Sec. 8. The Board may, by a two-thirds vote thereof, fine, suspend or expel any member; but no member shall be fined, suspended or expelled unless written charges shall first be filed with the Secretary, and a copy thereof be served upon such member, and an opportunity given him to be heard before the Board upon such charges, and at a time and place to be desig- nated by the Board, and such time shall not be less than five days after the mailing to such member of the copy of such charges, and a notice of the time and place of the hearing aforesaid. ARTICLE IV. President. Section 1. The President shall preside at all meetings of the Club and of the Board of Governors, and may call special or extra meetings of either, whenever in his judgment the same may be desirable. He shall sign with the Secretary all written contracts or obligations of the Club, and shall perform such other duties as the Board of Governors may require of him. 18 AMENDED CONSTITUTION Vice-Prbsident. Sec. 2. The Vice-President shall aid the President in the performance of his duties, and shall officiate as President during his absence. Secretary. Sec. 3. The Secretary shall issue notices of all meeting of the Board of Governors, and of the Club, and all other authorized notices. He shall make and keep a record of the proceedings of the meetings of the Board of Governors of the Club. He shall have the custody of the Constitution, By-Laws and Corporate Seal of the Club, and conduct its correspondence. He shall perform such other duties as may be from time to time required by the Club, or by the Board of Gov- ernors. The records of the Club and the Board of Gov- ernors shall be open to the inspection of any member of the Club at all reasonable times. Treasurer. Sec. 4. The Treasurer shall collect and, under the direction of the Board of Governors, disburse all Club moneys, and shall keep a record of all Club accounts. He shall present a report and summary of such record at the annual meetings of the Club, and a statement of the financial condition of the Club at every regular meeting of the Board of Governors. His books shall be open for the inspection of any member of the Club at all reasonable times. ARTICLE V. Annual Dues, Etc. Section 1. The annual dues from resident members shall be fifty dollars, and the annual dues from non- AMENDED CONSTITUTION 19 resident members shall be twenty-five dollars, payable quarterly in advance, at the Treasurer's office, on the first days of January, April, July and October. If any member shall fail to pay his dues within thirty days after the same become payable as above provided, his name and the amount of his unpaid dues shall be im- mediately posted upon the bulletin board of the Club by the Secretary and notice of such posting mailed to him. If said dues shall remain unpaid for thirty days after being posted, or sixty days after they are payable, his membership shall thereupon cease and he shall be eligible to election only as a new member and after payment of his dues in arrear. The names of persons whose membership has in any manner ceased shall be posted for thirty days there- after on the bulletin board by the Secretary. ARTICLE VI. Indebtedness. Section 1. Except as provided in Article Three, Section 5, no indebtedness shall be created or incurred by the Club, unless the same shall be first- authorized by a two-thirds vote of all the members present at any regular meeting, or at a special meeting called for that purpose. ARTICLE VII. CttTB Property. Section 1. None but resident members who have paid in full the entrance fee required by the Constitu- tion and all dues, shall have any interest in the prop- erty of the Club. 20 AMENDED CONSTITUTION ARTICLE VIII. Club MeETiNGS. Section 1. An annual meeting of the Club shall be held at the Club House on the evening of the second Wednesday of January, at eight o'clock, for the elec- tion of officers, and the transaction of such other busi- ness as may be brought before the meeting. Sec. 2. None but resident members in good standing shall be entitled to vote at any Club meeting. Any business which may be lawfully transacted at any Club meeting may, without additional notice, be transacted at any time to which such meeting may be adjourned. In the absence of the President and Vice- President at any meeting of the Club, the members present may elect a presiding officer. Sec. 3. Upon the presentation of a request in writing signed by ten resident members of the Club, to the President, Vice-President, or Secretary he shall call a special meeting of the Club, to be held not less than five nor more than twenty days after the presentation of such request. Notice of any special meeting shall be mailed to all resident members at least five days before the time for holding such special meeting. Such notice shall specify the object of the meeting. Sec. 4. Thirty-five of the resident members of the Club in good standing shall constitute a quorum for the transaction of any business. ARTICLE IX. Amendments. Section 1. Any amendment of the Constitution may be made at any regular or special meeting of the Club, AMENDED CONSTITUTION 21 provided that a written notice of the proposed amend- ment setting forth substantially the change desired shall have been filed with the Secretary, and by him posted on the bulletin board at least thirty days before such meeting of the Club. The Secretary shall mail a printed copy of such notice to every resident member at least ten days before such meeting. In all cases the assent of two-thirds of the qualified members present at said meeting shall be required to effect any amendment. BY-LAWS Section 1. No book, journal, paper, picture, or other property of this Association, shall be taken from the Club House under any pretext whatever, except by the authority of the Board of Governors. Sec. 2. Upon the first day of each month a state- ment of his indebtedness shall be mailed to each debtor member of the Club and, unless such indebtedness be paid on or before the 10th of the same month, the name of such member and the amount of such indebtedness shall be posted on the bulletin board of the Club, and the credit of any member so posted shall be suspended. Sec. 3. A suggestion book shall be kept at the Club House, in which every member is authorized to enter over his signature any suggestion he may desire to make, and at each meeting of the Board of Governors the suggestions contained in said book shall be sub- mitted to them for their action. Sec. 4. All complaints must be in writing, signed by the member complaining, directed to the Secretary, and deposited in the locked box provided for written com- munications, and the same shall be brought to the at- tention of the Board of Governors at their next meeting. Sec. S. All written communications and notices, under the constitution, by-laws, and house rules, may be served by mail, directed to each member at his last known address, who, after the expiration of ten days after such mailing, shall be deemed to have received the same. BY-LAWS 23 Sec. 6. Each member of the Club may introduce a friend not a resident of the City of Syracuse to the privileges of the Club House for a time not exceeding two weeks, upon recording in the visitors' book his own name and the name and residence of the person introduced by him. Sec. 7. Unless accompanied by the member inviting him, each guest must be provided with a card of intro- duction, which will be furnished on application to any Governor. Every such card must be signed by the Gov- ernor issuing it, and must bear the name of the guest, the name of the member inviting him, and the time for which it is issued. Sec. 8. The member at whose request any such card is issued shall be responsible for the liabilities of the person holding the same. A member who personally brings into the Club House a guest without a card shall be personally liable for the liabilities to the Club of such guest. Sec. 9. The Board of Governors are authorized to arrange with the social clubs of other cities whereby a card of introduction issued by this Club shall entitle the member to whom the same is issued to be received as a visitor by the Club to which such card may be directed. Sec. 10. No member or guest shall give any gratuity to any servant of the Club. Sec. 11. Property of the Club broken or injured by a member must be paid for by him. The amount may be determined by the House Committee, reference be- ing had to the cost of the article injured. Sec. 12. No subscription paper shall be circulated, advertising card exhibited, nor any article be exposed 24 BY-LAWS for sale in the Club House without the direction of the Board of Governors. Sec. 13. Except upon request of the Board of Gov- ernors no person shall be admitted to any meeting of the Board who is not a member of said Board, nor to any meeting of the Club, who is not a member of the Club. Sec. 14. Any member of the Board of Governors absenting himself from three consecutive meetings of said Board without previous leave, may be considered as having resigned from said Board, and a new Gover- nor may be elected in his place. Sec. is. In the election of new members by the Board of Governors, each Governor present shall pri- vately cast his vote in a box provided for that purpose, and no member present shall be excused from voting. The box having been passed by the Secretary to each member, shall be opened by the officer presiding, and the result declared by him. Sec. 16. The rules and order of the Assembly of this State shall govern the meetings of the members of the Club, and of the Board of Governors, in all cases where applicable, and not inconsistent with the constitution or by-laws of the Club. Sec. 17. A complete list of the officers, governors and members of the Club shall be posted by the Secre- tary in a conspicuous place in the Club House, and he shall change the same as occasion requires. Sec. 18. The House Committee shall keep posted in every room of the Club House a copy of such of the by-laws as they deem important, and of the House Rules, for the information of the members of the Club. BY-LAWS 25 Sec. 19. The Board of Governors shall hold a regu- lar monthly meeting of their body on the second Wed- nesday of each month. Sec. 20. At the time appointed for any meeting, upon the appearance of a quorum, the President, or in his absence the Vice-President, or if neither be present, a member selected to preside, shall call the meeting to order and proceed in the following order of business : 1. Calling the roll. 2. Reading the minutes of the previous meeting. 3. Reports of Secretary, Treasurer and Committees. 4. Action on suggestions in the suggestion book. 5. Motions and resolutions. 6. Election of new members. 7. General business. Sec. 21. No gambling shall be permitted in the Club. Sec. 22. The Club House shall be closed and the lights extinguished at two o'clock a. m. At twelve forty-five a. m. the steward shall give notice of the hour to all members then present, and shall close the bar at one a. m. Any member commencing any game after one forty-five a. m. shall be subject to a fine of five dollars for each game so commenced, and each member remaining in the Club House after two o'clock a. m. shall be subject to a fine of ten dollars. Sec. 23. The Board of Governors shall have the power to modify or remit penalties imposed for offences against the by-laws or house rules, or for any uninten- tional violation of the constitution. Sec. 24. The interpretation of the by-laws and house rules shall be vested in the Board of Governors, and their decision shall control and be final. 26 BY-LAWS Sec. 25. The President shall appoint a House Com- mittee of five members of the Club, and shall designate the chairman, the members of which committee shall serve for one year from the date of their several ap- pointments or until successors are appointed. The House Committee, subject to the control of the Board of Governors, shall have supervision over and control of the physical property, restaurant, service in and em- ployees of the Club. Sec. 26. Any person proposed for membership of this Club, who shall be rejected, or who having been elected, shall fail to qualify, shall be ineligible to elec- tion for the term of one year from the date on which he was balloted for. Sec. 27. Residents of the City of Syracuse may be invited to the Club once in each year, if attended by a member, but not after six p. m. Residents of the City of Syracuse may also be intro- duced into the Club House upon occasions of public entertainment or reception by invitation of the Board of Governors, and also in case of private entertainment by special permission of the House Committee.
